- Scope of Work: This Purchase Order authorizes Apex Engineering & Consulting Group Ltd. to provide qualified Systems Engineer personnel and related professional services as described in the line items above. All work shall be performed in accordance with the Statement of Work (SOW) attached as Appendix A to this Purchase Order and in compliance with all applicable laws of the Province of Quebec and the federal Government of Canada.
- Systems Engineer Qualifications: The Systems Engineer(s) assigned to this engagement must hold a minimum of eight (8) years of progressive experience in enterprise systems engineering, possess a P.Eng. or P.EIC. designation in the Province of Quebec, and demonstrate proficiency in the specific technology stack outlined in the SOW. Meridian reserves the right to request substitution of personnel with equivalent or superior qualifications.
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) calendar days of receipt of a valid invoice. All payments shall be made in Canadian Dollars (CAD) via electronic funds transfer (EFT) to the bank account designated by the vendor. Late payments shall accrue interest at the rate of 1.5% per month as permitted under the Quebec Act respecting the payment of commercial debts.
- Confidentiality & IP: All information, data, designs, and documentation produced by the Systems Engineer in the course of this Purchase Order shall be considered the exclusive property of Meridian Technology Solutions Inc. The vendor and its Systems Engineer personnel shall execute a Non-Disclosure Agreement (NDA) prior to commencing any work at the Canada Montreal site.
- Compliance & Insurance: The vendor shall maintain, at its own expense, comprehensive general liability insurance of no less than $5,000,000 CAD, professional liability (errors and omissions) insurance of no less than $2,000,000 CAD, and workers' compensation coverage as required by the Régie de l'assurance maladie du Québec (RAMQ). Certificates of insurance shall be provided prior to the start date.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, Meridian shall pay for all services rendered up to the effective date of termination. In the event of termination for cause (material breach), the non-breaching party shall be entitled to damages as determined under applicable Quebec civil law.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of Quebec and the federal laws of Canada applicable in the Province of Quebec. Any disputes shall be resolved by arbitration in Canada Montreal in accordance with the rules of the ADR Institute of Canada.
- Work Location: The primary and default work location for all Systems Engineer activities under this Purchase Order is the Meridian facility in Canada Montreal. Remote work may be permitted at the discretion of the Project Manager, provided that all deliverable deadlines and communication protocols are maintained.
