1. Description of Purchase — Systems Engineer Services

This Purchase Order is issued by Meridian Infrastructure Solutions Inc. (hereinafter referred to as the "Buyer") to Northgate Technical Consulting Ltd. The scope of this Purchase Order encompasses the full professional engagement of the Systems Engineer for the duration specified herein, including all associated deliverables, reporting obligations, and compliance requirements applicable to operations within the Province of Ontario and the broader Canada Toronto metropolitan region.

3. Scope of Work — Systems Engineer Responsibilities

The Systems Engineer procured under this Purchase Order shall perform the following duties while stationed in Canada Toronto:

  • Design, implement, and maintain enterprise-level IT infrastructure systems, including server farms, virtualization platforms, and distributed network topologies serving the Canada Toronto operational footprint.
  • Lead the migration of legacy on-premises systems to hybrid cloud environments, ensuring zero-downtime transitions and full data integrity in compliance with Canadian Privacy Act and Ontario's Personal Information Protection and Electronic Documents Act (PIPEDA).
  • Develop and enforce system security protocols, conduct vulnerability assessments, and coordinate with the Buyer's cybersecurity team to maintain SOC 2 Type II compliance for all systems hosted in Canada Toronto.
  • Provide technical oversight for all third-party vendor integrations, API development, and middleware solutions that interface with the Buyer's core business applications.

4. Terms and Conditions
  • Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto.
  • Confidentiality: The Systems Engineer shall execute a Non-Disclosure Agreement (NDA) prior to commencing work. All proprietary data, system credentials, and architectural blueprints accessed during the engagement in Canada Toronto remain the exclusive property of the Buyer.
  • Intellectual Property: All work product, designs, code, and documentation created by the Systems Engineer under this Purchase Order shall be deemed work-for-hire and shall vest exclusively in the Buyer upon delivery and acceptance.
  • Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect obligations accrued prior to the effective date of termination.
