This Purchase Order authorizes the engagement of qualified Systems Engineer professionals to execute the full scope of IT infrastructure modernization for Andes Technology Solutions SpA, headquartered in Chile Santiago. The Systems Engineer(s) assigned to this contract must hold a minimum of five (5) years of professional experience in enterprise systems administration, cloud architecture, and cybersecurity. All on-site work shall be performed at the Chile Santiago premises located in Las Condes, and the Systems Engineer must comply with all local labor regulations of the Región Metropolitana, Chile, as well as the company's internal safety and access-control protocols.
The Systems Engineer is expected to produce all technical documentation in both English and Spanish to ensure full accessibility for the Chile Santiago operations team. All deliverables, including architecture diagrams, configuration scripts, runbooks, and compliance reports, must be submitted to the project manager no later than five (5) business days following the completion of each milestone.
- 5.1 – This Purchase Order is governed by the laws of the Republic of Chile. Any disputes arising from this Purchase Order shall be resolved in the competent courts of Chile Santiago, Región Metropolitana.
- 5.2 – The Systems Engineer shall maintain full professional liability insurance and indemnification coverage for the duration of the engagement, with a minimum coverage of CLP 100,000,000.
- 5.3 – Payment shall be made via bank transfer (transferencia electrónica) to the account designated by ProIngeniería Digital SpA. Invoices must be issued in accordance with Chilean tax regulations (factura electrónica, SII-compliant).
- 5.4 – The vendor shall not subcontract any portion of the Systems Engineer services without prior written authorization from Andes Technology Solutions SpA's Procurement Department.
- 5.5 – All intellectual property, configurations, and documentation produced under this Purchase Order shall remain the exclusive property of Andes Technology Solutions SpA. The Systems Engineer grants a perpetual, irrevocable license for internal use.
- 5.6 – Late delivery or failure to meet the SLA defined in Item 005 shall result in a penalty of 0.5% of the affected line-item value per business day of delay, capped at 10% of the total Purchase Order value.
- 5.7 – The Systems Engineer must adhere to all data protection requirements under Chilean Law No. 19.628 (Ley de Protección de la Vida Privada) and any applicable GDPR provisions for international data flows.
- 5.8 – This Purchase Order may be amended only by mutual written agreement signed by both parties. Verbal modifications are not binding.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of Systems Engineer services in Chile Santiago. This document constitutes a binding commercial agreement effective from the date of the last signature.
