This Purchase Order is issued by Meridian Technology Solutions Ltd. (hereinafter referred to as the "Buyer") to formally procure the professional services of a qualified Systems Engineer to be deployed and performing all contractual duties within the metropolitan area of China Beijing. The engagement is structured as a fixed-term professional services contract with a duration of twelve (12) months, commencing on August 1, 2025, and concluding on July 31, 2026, unless otherwise extended by mutual written agreement of both parties.

The Systems Engineer engaged under this Purchase Order shall be responsible for the design, architecture, implementation, testing, and ongoing maintenance of enterprise-grade IT infrastructure systems. All work shall be conducted primarily at the Buyer's principal office located in Chaoyang District, China Beijing, with the possibility of on-site visits to secondary facilities within the China Beijing municipal boundary as operationally required.

All amounts stated in this Purchase Order are denominated in Chinese Yuan (CNY) and are inclusive of all applicable taxes, levies, and statutory contributions as mandated by the tax authorities of China Beijing and the People's Republic of China. No additional charges shall be incurred beyond the total Purchase Order value unless a formal amendment to this document is executed in writing by both parties.

The Systems Engineer contracted under this Purchase Order shall perform the following duties within the operational boundaries of China Beijing:

1. Design and architect scalable, high-availability IT infrastructure solutions tailored to the Buyer's enterprise requirements, ensuring compliance with all applicable regulations of the People's Republic of China and local China Beijing municipal standards.
2. Implement, configure, and deploy server systems, network infrastructure, cloud environments, and integrated application platforms at the Buyer's China Beijing facilities.
3. Conduct regular performance monitoring, capacity planning, and preventive maintenance of all systems under the Systems Engineer's purview.
4. Provide technical leadership and mentorship to the Buyer's in-house IT staff located in China Beijing, fostering knowledge transfer and operational independence.
5. Respond to critical system incidents within a maximum of two (2) hours during business hours and four (4) hours during off-hours, with on-site presence at the China Beijing office when required.
6. Prepare and submit monthly progress reports to the Buyer's Project Management Office detailing all activities performed by the Systems Engineer under this Purchase Order.

Payment under this Purchase Order shall be made via bank transfer to the Supplier's designated account in accordance with the following schedule:

1. This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration in China Beijing in accordance with the rules of the Beijing Arbitration Commission.
2. The Systems Engineer shall maintain all professional certifications, licenses, and registrations required to perform engineering services in China Beijing throughout the duration of this engagement.
3. Confidentiality: All proprietary information, system architectures, and business data accessed by the Systems Engineer in the course of performing duties under this Purchase Order in China Beijing shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent from the Buyer.
4. Intellectual Property: All work product, designs, documentation, and deliverables created by the Systems Engineer specifically for the Buyer under this Purchase Order shall be the sole and exclusive property of the Buyer upon full payment.
5. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Systems Engineer shall complete all in-progress work and deliver all documentation to the Buyer within the notice period.
6. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting China Beijing.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Systems Engineer in China Beijing. This document constitutes a binding procurement instrument and shall remain in full force and effect for the duration specified herein.
