This Purchase Order is issued by Guangzhou Digital Infrastructure Co., Ltd. (hereinafter referred to as the "Buyer") to Shenzhen Apex Technology Solutions Ltd. (hereinafter referred to as the "Supplier") for the engagement of a qualified Systems Engineer to provide comprehensive technical services at the Buyer's primary operational facility located in China Guangzhou. The Systems Engineer shall be responsible for the design, implementation, testing, and ongoing maintenance of the Buyer's enterprise-level IT infrastructure, including but not limited to server architectures, network topologies, cloud integration platforms, and cybersecurity frameworks deployed across all China Guangzhou office locations.

The Systems Engineer engaged under this Purchase Order must hold a minimum of eight (8) years of documented professional experience in enterprise systems engineering, possess relevant certifications (PMP, CISSP, or equivalent), and demonstrate proven expertise in deploying and managing large-scale infrastructure within the China Guangzhou metropolitan area. The Systems Engineer shall report directly to the Buyer's Chief Technology Officer and shall be physically present at the China Guangzhou headquarters no fewer than five (5) business days per week during the contracted engagement period.

All prices are quoted in Chinese Yuan (CNY) and are inclusive of applicable Value Added Tax (VAT) at the prevailing rate. No additional charges shall be incurred without prior written amendment to this Purchase Order.

1. Commencement: The Systems Engineer shall commence duties at the China Guangzhou facility no later than July 1, 2025. The Supplier is responsible for all visa, work permit, and residency documentation required for the Systems Engineer to legally perform services in China Guangzhou.
2. Performance Standards: The Systems Engineer shall adhere to all operational protocols, security clearances, and compliance standards mandated by the Buyer and applicable Chinese national regulations governing IT infrastructure in the China Guangzhou region.
3. Payment Schedule: Payment under this Purchase Order shall be made in quarterly installments of 196,500.00 CNY, due within thirty (30) days of the end of each calendar quarter. The first installment is due upon successful onboarding and first 30-day performance review of the Systems Engineer.
4. Confidentiality: The Systems Engineer shall execute a Non-Disclosure Agreement (NDA) prior to accessing any proprietary systems, data, or documentation within the China Guangzhou premises. All intellectual property developed during the engagement shall remain the sole property of the Buyer.
5. Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, the Supplier shall ensure a minimum of thirty (30) days transition support for the Systems Engineer's knowledge transfer to a replacement or internal team.
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration in China Guangzhou under the rules of the China International Economic and Trade Arbitration Commission (CIETAC).
7. Insurance: The Supplier shall maintain comprehensive professional liability insurance and workers' compensation coverage for the Systems Engineer throughout the duration of this Purchase Order, with minimum coverage of 5,000,000 CNY.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Systems Engineer to deliver professional services in China Guangzhou. This Purchase Order constitutes a binding contractual agreement effective upon execution by both authorized representatives.
