Terms and Conditions
- Scope of Work: All services rendered under this Purchase Order shall be performed by qualified Systems Engineer professionals who meet the technical qualifications specified in the attached Statement of Work. The Systems Engineer must hold a minimum of five (5) years of professional experience in enterprise IT infrastructure and be physically present in Colombia Bogotá for on-site activities.
- Payment Terms: Net 30 days from the date of invoice receipt. Payment shall be made via bank transfer to the vendor's account in Colombia. Invoices must include the vendor's NIT, RUT, and applicable Colombian tax codes (IVA 19%).
- Delivery & Performance: All deliverables must be completed at the designated work location in Colombia Bogotá unless otherwise agreed in writing. The Systems Engineer shall adhere to the project timeline outlined in the master schedule. Delays exceeding five (5) business days without prior written approval may result in a penalty of 0.5% of the affected line item value per day.
- Confidentiality: The Systems Engineer and all subcontracted personnel shall sign a Non-Disclosure Agreement (NDA) compliant with Colombian labor and data protection law before accessing any proprietary systems or data in Colombia Bogotá.
- Warranty & Support: All system configurations, code, and documentation delivered by the Systems Engineer carry a 12-month warranty period from the date of final acceptance. The vendor shall respond to critical issues within 4 hours and resolve them within 24 hours.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the vendor shall be compensated for all services rendered up to the termination date, and the Systems Engineer shall deliver all work-in-progress documentation.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the commercial laws of the Republic of Colombia. Any disputes shall be resolved in the competent courts of Bogotá D.C., Colombia.
- Compliance: The vendor and the assigned Systems Engineer must comply with all applicable Colombian labor regulations, tax obligations, and industry standards. The vendor is solely responsible for the employment relationship, social security (Pensión, Salud, ARL), and tax withholdings of the Systems Engineer.
Approval & Authorization
This Purchase Order is authorized for the procurement of Systems Engineer professional services to be executed in Colombia Bogotá. The undersigned confirm that the budget allocation under Cost Center CC-IT-2025-004 has been verified and approved for this engagement.
