The Purchase Order is issued in accordance with the procurement regulations of the Democratic Republic of the Congo and the internal procurement policies of the Buyer. All parties acknowledge that the services described herein are to be performed exclusively within the jurisdiction of DR Congo Kinshasa, and the Systems Engineer shall comply with all applicable national laws, municipal regulations, and industry standards governing professional engineering services in the DR Congo.
The Buyer hereby procures the professional services of a certified Systems Engineer to perform the following duties and deliverables in DR Congo Kinshasa:

The Systems Engineer engaged under this Purchase Order shall hold a minimum of a Bachelor's degree in Computer Science, Information Technology, or a related engineering discipline, supplemented by a minimum of eight (8) years of progressive professional experience in enterprise systems architecture. The Systems Engineer must possess valid certifications including but not limited to CompTIA Security+, Cisco CCNP, and Microsoft Certified: Azure Solutions Architect Expert. Given the operational context in DR Congo Kinshasa, the Systems Engineer shall demonstrate familiarity with infrastructure challenges specific to the region, including power reliability planning, connectivity constraints, and environmental considerations.
- Commencement and Duration: The Systems Engineer shall commence work in DR Congo Kinshasa no later than 1 July 2025. The total project duration, including the maintenance period, shall not exceed ten (10) months from the commencement date.
- Payment Terms: Payment shall be made in accordance with the milestones outlined in this Purchase Order. A 30% advance payment shall be due upon execution of this Purchase Order. The remaining balance shall be disbursed in monthly installments upon verified completion of each milestone. All payments shall be made in United States Dollars (USD) via wire transfer to the Supplier's designated bank account.
- Travel and Accommodation: The Buyer shall cover all international and local travel expenses, accommodation, and per diem for the Systems Engineer while on assignment in DR Congo Kinshasa. The Buyer shall provide a secure office workspace at its Gombe facility.
- Compliance with Local Law: The Systems Engineer shall obtain all necessary work permits, visas, and professional registrations required to legally perform engineering services in the DR Congo. The Supplier is responsible for ensuring the Systems Engineer holds a valid work authorization for DR Congo Kinshasa.
- Intellectual Property: All designs, documentation, configurations, and deliverables produced by the Systems Engineer under this Purchase Order shall become the exclusive property of the Buyer upon full payment.
- Confidentiality: The Systems Engineer shall maintain strict confidentiality regarding all proprietary information, network architectures, and operational data of the Buyer encountered during the engagement in DR Congo Kinshasa.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Supplier for all work completed and verified up to the termination date.
- Governing Law and Dispute Resolution: This Purchase Order shall be governed by the laws of the Democratic Republic of the Congo. Any disputes arising from this Purchase Order shall be resolved through arbitration in Kinshasa, DR Congo, in accordance with the rules of the OHADA arbitration center.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to civil unrest, natural disasters, or government-imposed restrictions in DR Congo Kinshasa.
By signing below, both parties acknowledge and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Systems Engineer in DR Congo Kinshasa. This Purchase Order becomes effective upon the last signature and remains valid until the completion of all deliverables or the expiration date stated above, whichever occurs first.
