This Purchase Order is issued by NileTech Infrastructure Solutions S.A.E. to formally engage the services of a qualified Systems Engineer to support the design, deployment, and ongoing maintenance of enterprise-grade IT infrastructure within our operational facilities located in Egypt Cairo. The engagement is governed by the terms set forth in this document and the master service agreement dated 01 March 2025.

The Systems Engineer shall be responsible for the following scope of work:

Grand Total: EGP 958,000 (Nine Hundred Fifty-Eight Thousand Egyptian Pounds)

* All rates are exclusive of 14% Egyptian Value Added Tax (VAT), which shall be added at the point of invoicing.

All services procured under this Purchase Order shall be performed primarily at the NileTech headquarters and satellite offices situated in Egypt Cairo, specifically at the following sites:

• Main Data Center – 12th of Ramadan Industrial Zone, Cairo, Egypt
• Corporate Headquarters – 45 El Tahrir Square, Downtown, Egypt Cairo
• Regional Branch – New Cairo, 5th Settlement, Egypt Cairo

The Systems Engineer is expected to be physically present at the designated Egypt Cairo locations during standard business hours (Sunday through Thursday, 09:00–18:00 EET) and to provide remote or on-call support outside of these hours as dictated by the incident response protocol.

• Payment Terms: Payment shall be made within 30 days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-EGC-2025-04471) and include the applicable Egyptian VAT registration number.
• Commencement Date: The Systems Engineer engagement shall commence on 01 July 2025, subject to completion of all onboarding and security clearance procedures at the Egypt Cairo facilities.
• Performance Bond: The vendor shall provide a performance bond equivalent to 10% of the total Purchase Order value, issued by a licensed Egyptian bank, prior to the start of services.
• Confidentiality: The Systems Engineer shall sign a Non-Disclosure Agreement (NDA) compliant with Egyptian Law No. 175 of 2018 (Personal Data Protection Law) before accessing any proprietary systems in Egypt Cairo.
• Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the vendor shall be compensated for all services rendered up to the effective date of termination.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes shall be resolved through arbitration in Egypt Cairo under the rules of the Egyptian Arbitration Center.
• Compliance: The Systems Engineer must hold valid professional certifications (minimum: CCNA, VMware VCP, or equivalent) and a current Egyptian professional practice license. All work must comply with the Egyptian Telecommunications Regulatory Authority (NTRA) guidelines.

By signing below, both parties acknowledge and agree to the terms outlined in this Purchase Order for the procurement of Systems Engineer services to be delivered in Egypt Cairo. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
