1. Scope of Purchase – Systems Engineer Services in France Marseille

This Purchase Order is issued by Provence Digital Infrastructure SAS to formally request and authorize the procurement of professional Systems Engineer services to be delivered on-site and remotely within the France Marseille metropolitan area. The engagement covers the design, implementation, migration, and ongoing maintenance of enterprise-level IT infrastructure systems for the buyer's operations center located in the 7th arrondissement of Marseille. The Systems Engineer shall be responsible for ensuring full compliance with French data protection regulations (RGPD/GDPR) and the European Union's cybersecurity directives applicable to all systems deployed in France Marseille.

3. Delivery and Performance Location

All services under this Purchase Order shall be performed primarily at the buyer's premises in France Marseille (Boulevard du Littoral, 13007) and at the designated data center facility in the Marseille industrial zone (Zone Franche, 13015). The assigned Systems Engineer must be physically present in France Marseille for a minimum of three (3) working days per week during the active implementation phases. Remote work from within the French territory is permitted for the remaining days, provided that all deliverables meet the quality standards specified in this Purchase Order.

4. Terms and Conditions

Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice receipt. Invoices must reference this Purchase Order number (FR-MRS-2025-04872). Payment shall be processed via SEPA bank transfer to the supplier's account registered in France.
Commencement Date: The Systems Engineer engagement shall commence on 1 July 2025, subject to mutual confirmation in writing. Any delay in commencement must be communicated to the buyer at least ten (10) business days in advance.
Performance Standards: The Systems Engineer shall adhere to ISO/IEC 27001 information security management standards and all applicable French regulatory requirements governing IT infrastructure in France Marseille. Monthly progress reports shall be submitted to the buyer's Procurement Director.
Intellectual Property: All documentation, configurations, scripts, and architectural designs produced by the Systems Engineer under this Purchase Order shall become the exclusive property of Provence Digital Infrastructure SAS upon full payment.
Confidentiality: The supplier and the assigned Systems Engineer shall maintain strict confidentiality regarding all proprietary systems, data, and business processes encountered during the engagement in France Marseille. A separate Non-Disclosure Agreement (NDA) is attached as Annex A.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the termination date at the rates specified herein.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from this agreement shall be submitted to the exclusive jurisdiction of the Commercial Court of Marseille, France Marseille.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or pandemics affecting operations in France Marseille.
Subcontracting: The supplier shall not subcontract any portion of the Systems Engineer services without prior written consent from the buyer. Any approved subcontractor must be based in France and comply with all local labor and data protection laws.
Warranty: The supplier warrants that all Systems Engineer services shall be performed in a professional and workmanlike manner, free from defects, for a period of twelve (12) months following the completion of each deliverable phase.

5. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Systems Engineer services to be delivered in France Marseille. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
