1. Purpose and Scope of This Purchase OrderThis Purchase Order is issued by Meridian Technology Solutions GmbH (hereinafter referred to as "the Buyer") to Apex Engineering Partners Ltd. (hereinafter referred to as "the Vendor") for the provision of a qualified Systems Engineer to be deployed and performing all professional duties within the city of Germany Munich. This Purchase Order governs the full scope of services, compensation, contractual obligations, and delivery expectations associated with the engagement of the Systems Engineer. All terms, conditions, and specifications outlined in this Purchase Order are binding upon both parties from the date of acceptance.
The Buyer requires the services of a senior-level Systems Engineer who will be responsible for the design, architecture, implementation, testing, and ongoing maintenance of enterprise-grade IT infrastructure systems. The Systems Engineer will be physically stationed at the Buyer's primary office facility located in Germany Munich and will report directly to the Director of Infrastructure and Operations. The role demands a minimum of eight (8) years of progressive experience in systems engineering, with demonstrated expertise in distributed computing environments, cloud-native architectures, and enterprise network security protocols.

3.1 Place of Performance: All services under this Purchase Order shall be rendered exclusively at the Buyer's premises in Germany Munich, Industriestraße 42, 80992. The Systems Engineer is expected to be present on-site for a minimum of four (4) days per week, with the remaining day allocated to remote work as approved by the Buyer's management.
3.2 Payment Terms: Payment shall be made in monthly installments of EUR 13,288.33 (inclusive of VAT) within thirty (30) days of receipt of a valid invoice from the Vendor. The first payment shall be due upon successful commencement of the Systems Engineer's duties in Germany Munich. Late payments shall incur interest at a rate of 1.5% per month as stipulated under German commercial law (HGB § 288).
3.3 Performance Standards: The Systems Engineer shall adhere to all technical standards, security protocols, and compliance frameworks mandated by the Buyer and applicable German and European Union regulations, including but not limited to GDPR, ISO 27001, and the German Federal Network Agency (BNetzA) guidelines. Failure to meet performance benchmarks as defined in the attached Service Level Agreement (SLA) may result in contractual penalties.
3.4 Confidentiality and Data Protection: The Systems Engineer shall sign a binding Non-Disclosure Agreement (NDA) and Data Processing Agreement (DPA) prior to commencing work in Germany Munich. All proprietary data, system architectures, and client information accessed during the engagement remain the exclusive property of the Buyer.
3.5 Termination: Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In the event of material breach by the Vendor or the Systems Engineer, the Buyer reserves the right to terminate immediately without further notice. Upon termination, the Vendor shall ensure a smooth knowledge transfer and handover of all systems documentation.
3.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Germany Munich.
4. Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Systems Engineer in Germany Munich. This Purchase Order becomes effective upon countersignature by both authorized representatives.
