- Commencement Date: The Systems Engineer engagement shall commence on 1 July 2025 at the buyer’s facility in Indonesia Jakarta, unless otherwise agreed in writing by both parties.
- Payment Terms: Payment shall be made in monthly installments via bank transfer to the supplier’s designated account. Invoices are due within 30 days of receipt. The total Purchase Order value of IDR 377,400,000 shall be disbursed in equal monthly tranches of IDR 31,450,000 over the 12-month contract period.
- Performance Standards: The Systems Engineer shall adhere to all service level agreements (SLAs) as defined in the attached Statement of Work. Uptime for critical systems shall not fall below 99.5% during the contract term in Indonesia Jakarta.
- Confidentiality: The Systems Engineer and all associated personnel shall sign a Non-Disclosure Agreement (NDA) prior to commencing work. All data, system credentials, and proprietary information encountered during the engagement in Indonesia Jakarta shall remain the exclusive property of the buyer.
- Compliance: The supplier shall ensure that the Systems Engineer complies with all applicable Indonesian labor laws, immigration regulations (if applicable), tax obligations, and industry standards relevant to the Indonesia Jakarta jurisdiction.
- Termination: Either party may terminate this Purchase Order with 60 days’ written notice. In the event of material breach, termination may be effected with 14 days’ notice. Upon termination, the Systems Engineer shall complete all outstanding deliverables and hand over all documentation.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Indonesia Jakarta. If mediation fails, disputes shall be submitted to the Jakarta District Court or, at the buyer’s election, to the Indonesian National Arbitration Board (BANI).
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or pandemics affecting operations in Indonesia Jakarta.
- Intellectual Property: All work product, designs, configurations, and documentation created by the Systems Engineer under this Purchase Order shall be the sole intellectual property of the buyer.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Indonesia.
The Systems Engineer personnel shall report to the buyer’s primary office at Jl. Jend. Sudirman Kav. 52-53, Indonesia Jakarta, on the first business day of the contract period. The supplier is responsible for providing all necessary tools, software licenses, and technical equipment required for the Systems Engineer to perform duties effectively. The buyer shall provide workspace, access credentials, and internal network connectivity at the Indonesia Jakarta site.
