1. Description of Procurement

This Purchase Order is issued by Kanto Pacific Technologies Co., Ltd. (hereinafter referred to as the "Buyer") to Nihon Engineering Solutions Inc. (hereinafter referred to as the "Supplier") for the procurement of professional engineering services. The scope of this engagement involves the assignment of a qualified Systems Engineer to support the Buyer's infrastructure modernization program located in the Japan Osaka metropolitan area. The Systems Engineer shall be responsible for the design, implementation, testing, and ongoing maintenance of enterprise-level IT infrastructure systems, including but not limited to server architectures, network topologies, cloud migration frameworks, and cybersecurity protocols. All work shall be performed at the Buyer's primary facility in Japan Osaka or at such other locations within the Japan Osaka prefecture as mutually agreed upon in writing.

3. Scope of Work and Deliverables

The Systems Engineer assigned under this Purchase Order shall deliver the following key outputs during the engagement period in Japan Osaka:

  1. A comprehensive System Architecture Document detailing the design of all infrastructure components, to be delivered within the first 30 days of commencement.
  2. Full implementation and deployment of the upgraded server and network infrastructure at the Buyer's Japan Osaka headquarters, including all necessary hardware configuration and software installation.
  3. A Cloud Migration Plan and execution report documenting the transition of all legacy systems to the designated hybrid cloud platform, with zero data loss and minimal downtime.
  4. A Cybersecurity Compliance Report confirming adherence to Japanese Information Security Act requirements and international ISO 27001 standards, specific to all systems operating in the Japan Osaka facility.
  5. Monthly progress reports submitted to the Buyer's Project Management Office, detailing milestones achieved, risks identified, and corrective actions taken by the Systems Engineer.
  6. A Final Acceptance Report upon completion of all deliverables, certifying that all systems meet the performance benchmarks and specifications outlined in this Purchase Order.
4. Terms and Conditions
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order related to the Systems Engineer engagement in Japan Osaka shall be resolved through arbitration in Osaka, Japan, in accordance with the rules of the Japan Commercial Arbitration Association.
  2. Confidentiality: The Supplier and the assigned Systems Engineer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  3. Intellectual Property: All work products, designs, documentation, and code developed by the Systems Engineer specifically for the Buyer under this Purchase Order in Japan Osaka shall be the sole property of the Buyer upon full payment.
  4. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of material breach by the Supplier, the Buyer may terminate immediately upon written notice. Upon termination, the Supplier shall deliver all work-in-progress materials to the Buyer.
  5. Insurance: The Supplier shall maintain comprehensive professional liability insurance with a minimum coverage of JPY 100,000,000 for the duration of the Systems Engineer engagement in Japan Osaka.
  6. Compliance: The Supplier warrants that the Systems Engineer shall comply with all applicable Japanese labor laws, immigration regulations, and workplace safety standards while performing duties in Japan Osaka.
  7. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from natural disasters, including but not limited to earthquakes, typhoons, or volcanic activity, which are common risks in the Japan Osaka region.
5. Payment Schedule
  1. 30% of the total Purchase Order value upon execution and commencement of the Systems Engineer engagement in Japan Osaka.
  2. 40% upon successful completion and acceptance of the infrastructure implementation and cloud migration milestones.
  3. 30% upon final acceptance of all deliverables and submission of the Final Acceptance Report.
