- Acceptance: This Purchase Order shall become a binding contractual agreement upon written acceptance by Nippon Technical Solutions Group Inc. within ten (10) business days of the issue date. Failure to respond within this period shall render this Purchase Order null and void.
- Systems Engineer Qualifications: The Systems Engineer assigned to fulfill the obligations under this Purchase Order must hold a minimum of eight (8) years of documented professional experience in enterprise systems engineering, possess a valid Japanese IT Engineer certification (Information Technology Engineer Examination), and demonstrate proven expertise in operating within the Japan Tokyo technology ecosystem. The Systems Engineer must be legally authorized to perform professional engineering services in Japan Tokyo.
- Place of Performance: All services, deliverables, on-site inspections, and technical workshops mandated by this Purchase Order shall be conducted at the designated Japan Tokyo locations specified in Section 2. The Systems Engineer is expected to maintain a primary work presence in Japan Tokyo for a minimum of four (4) days per week, with remote work permitted only for administrative tasks.
- Payment Terms: Payment for this Purchase Order shall be made in monthly installments via bank transfer to the supplier's designated account in Japan Tokyo. Invoices must be submitted by the 5th of each month for services rendered in the preceding month. Payment is due within thirty (30) days of invoice receipt. All transactions are denominated in Japanese Yen (JPY) and processed through Japan Tokyo financial institutions.
- Intellectual Property: All system designs, configurations, documentation, and proprietary solutions developed by the Systems Engineer under this Purchase Order shall be the exclusive intellectual property of Kanto Digital Infrastructure Co., Ltd. upon full payment. The Systems Engineer shall not replicate, distribute, or license any Japan Tokyo-specific system architectures developed hereunder to third parties.
- Compliance with Japan Tokyo Regulations: The Systems Engineer shall comply with all applicable laws and regulations of Japan, including but not limited to the Act on the Protection of Personal Information (APPI), the Information Security Promotion Act, and all municipal ordinances governing professional engineering services in Japan Tokyo. The supplier warrants that the Systems Engineer holds all necessary work visas and professional registrations valid for the Japan Tokyo region.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Systems Engineer shall complete all in-progress deliverables for Japan Tokyo systems and provide a comprehensive handover document. No further charges shall accrue beyond the termination effective date.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Japan Tokyo, followed by binding arbitration under the rules of the Japan Commercial Arbitration Association (JCAA) seated in Tokyo, Japan. The governing law shall be the laws of Japan.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical specifications, system architectures, and business information exchanged in connection with this Purchase Order. The Systems Engineer shall sign a separate Non-Disclosure Agreement specific to Japan Tokyo operations prior to commencing any work.
Each milestone deliverable produced by the Systems Engineer under this Purchase Order shall be subject to a formal acceptance review conducted at the Japan Tokyo headquarters. Rejected deliverables must be remediated by the Systems Engineer at no additional cost within ten (10) business days.
