This Purchase Order is issued by Atlas Digital Infrastructure S.A.R.L. to formally engage the services of a qualified Systems Engineer to be deployed and operational within the Morocco Casablanca metropolitan area. The Systems Engineer shall be responsible for the design, implementation, testing, and ongoing maintenance of enterprise-grade IT infrastructure systems, including but not limited to server architectures, network topologies, cloud migration frameworks, and cybersecurity protocols.

The engagement of the Systems Engineer is critical to the Buyer's strategic expansion of its data center operations in Morocco Casablanca, where the Buyer maintains its primary regional headquarters and two (2) active server facilities. The Systems Engineer shall report directly to the Director of Technology Operations and shall be physically present at the Buyer's premises located in the Anfa district of Morocco Casablanca for a minimum of five (5) working days per week.

The Systems Engineer engaged under this Purchase Order shall deliver the following milestones and work products:

4.1 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Morocco. Any disputes arising from or in connection with this Purchase Order, including disputes relating to the performance of the Systems Engineer, shall be submitted to the competent commercial courts of Morocco Casablanca.

4.2 Payment Schedule: Payment shall be made in accordance with the following milestones: (a) 25% upon execution of this Purchase Order; (b) 25% upon completion of the infrastructure design phase; (c) 30% upon successful cloud migration; and (d) 20% upon final acceptance of all deliverables. All payments shall be remitted via bank transfer to the Supplier's designated account in Morocco Casablanca.

4.3 Performance Standards: The Systems Engineer shall adhere to internationally recognized standards including ISO/IEC 27001, ITIL v4, and NIST Cybersecurity Framework. All work performed in Morocco Casablanca shall comply with the Moroccan Code of Commerce and applicable data protection regulations (Law 09-08 on the Protection of Personal Data).

4.4 Confidentiality: The Systems Engineer shall maintain strict confidentiality regarding all proprietary information, network credentials, and business data encountered during the course of this engagement in Morocco Casablanca. A separate Non-Disclosure Agreement (NDA) is attached hereto as Annex A.

4.5 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall provide a full handover of all work-in-progress documentation related to the Systems Engineer's activities.

4.6 Insurance and Liability: The Supplier shall maintain professional indemnity insurance with a minimum coverage of 5,000,000 MAD, valid throughout the duration of this Purchase Order and specifically covering operations conducted in Morocco Casablanca.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Systems Engineer in Morocco Casablanca. This Purchase Order constitutes a binding commercial agreement upon countersignature by both authorized representatives.
