3. Scope of Purchase — Systems Engineer Services

This Purchase Order is issued by Amsterdam Digital Infrastructure B.V. to procure the professional services of a qualified Systems Engineer to be deployed and performing all duties within the city of Netherlands Amsterdam. The engagement covers the design, implementation, testing, and ongoing maintenance of enterprise-level IT infrastructure systems. The Systems Engineer shall be responsible for ensuring that all hardware, software, network, and cloud-based systems operate in full compliance with Dutch and European regulatory standards, including the General Data Protection Regulation (GDPR) as enforced within the Netherlands.

The Systems Engineer assigned under this Purchase Order must hold a minimum of eight (8) years of progressive experience in enterprise systems architecture, with demonstrated expertise in Linux/Unix server environments, Microsoft Azure and AWS cloud platforms, network security protocols, and automated infrastructure-as-code deployments. The role is to be performed on-site at the buyer's primary facility located in Netherlands Amsterdam, with a minimum of four (4) days per week on-site presence and the remaining time allocated to remote support and documentation.

5. Payment Terms

Payment shall be made in monthly installments within thirty (30) calendar days of receipt of a valid invoice from the supplier. All payments shall be processed via bank transfer to the supplier's designated account in the Netherlands. The total value of this Purchase Order is €1,698,840.00 inclusive of 21% Dutch VAT. Late payments shall incur interest at a rate of 1.5% per month as stipulated under Dutch civil law (Burgerlijk Wetboek, Book 6).

6. Terms and Conditions

  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of the Netherlands. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Amsterdam, Netherlands.
  2. Performance Location: All services rendered under this Purchase Order by the Systems Engineer shall be performed primarily at the buyer's premises in Netherlands Amsterdam, unless otherwise agreed in writing by both parties.
  3. Confidentiality: The Systems Engineer shall maintain strict confidentiality regarding all proprietary information, system architectures, and operational data encountered during the engagement in Netherlands Amsterdam. A separate Non-Disclosure Agreement (NDA) is attached as Annex A.
  4. Compliance: The Systems Engineer shall comply with all applicable Dutch labor regulations, data protection laws (including GDPR and the Dutch UAVG), and industry-specific standards relevant to the Netherlands Amsterdam technology sector.
  5. Intellectual Property: All work product, designs, code, and documentation created by the Systems Engineer in the course of fulfilling this Purchase Order shall be the exclusive property of Amsterdam Digital Infrastructure B.V.
  6. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, termination may be effected with fourteen (14) days' notice. Upon termination, the Systems Engineer shall complete all in-progress tasks and deliver all documentation to the buyer.
  7. Insurance: The supplier shall maintain professional liability insurance with a minimum coverage of €2,000,000 per occurrence, valid throughout the Netherlands, for the duration of this Purchase Order.
  8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or pandemics affecting operations in Netherlands Amsterdam.
  9. Subcontracting: The supplier shall not subcontract any portion of the Systems Engineer services without prior written consent from the buyer. Any approved subcontractor shall be bound by the same terms as this Purchase Order.
  10. Acceptance: Deliverables under this Purchase Order shall be deemed accepted within ten (10) business days of submission, unless the buyer provides written notice of specific deficiencies requiring remediation by the Systems Engineer.

7. Delivery & Commencement

The Systems Engineer engagement shall commence on 1 January 2026 at the buyer's facility in Netherlands Amsterdam. The supplier shall ensure that the assigned Systems Engineer is fully onboarded, security-cleared, and equipped with all necessary access credentials no later than 20 December 2025. A detailed project plan and milestone schedule shall be submitted to the buyer within fourteen (14) days of the commencement date.

8. Authorization & Signatures

This Purchase Order is hereby authorized and made binding upon execution by the undersigned representatives of both parties. By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Systems Engineer services in Netherlands Amsterdam.
