This Purchase Order is issued by Meridian Infrastructure Solutions Ltd. to procure the professional services of a qualified Systems Engineer to be deployed and operated within the New Zealand Auckland metropolitan region. - This Purchase Order constitutes a binding agreement between the parties upon signature by both the buyer and the supplier. All terms herein shall be governed by the laws of New Zealand, with jurisdiction vested in the courts of New Zealand Auckland.
- The Systems Engineer assigned to this contract must hold a minimum of eight (8) years of professional experience in enterprise systems architecture, possess relevant certifications (including but not limited to AWS Solutions Architect, Cisco CCIE, or equivalent), and demonstrate prior experience delivering projects within the New Zealand Auckland technology sector.
- All work performed under this Purchase Order shall be conducted at the buyer's designated premises in New Zealand Auckland or at such other locations within the Auckland metropolitan area as mutually agreed in writing. The Systems Engineer shall comply with all site safety, security, and access protocols established by the buyer.
- Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the supplier. Late payments shall accrue interest at the rate prescribed under the New Zealand Late Payment of Commercial Debts (Interest) Act 1993.
- The supplier warrants that the Systems Engineer engaged under this Purchase Order shall not be bound by any non-compete or confidentiality obligations that would conflict with the duties owed to the buyer. All intellectual property developed specifically for the buyer during the term of this engagement shall vest in the buyer upon full payment.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall be liable for all services rendered up to the effective date of termination, as itemised in a final invoice from the supplier.
- The supplier shall maintain professional indemnity insurance with a minimum cover of NZD 5,000,000 and public liability insurance of NZD 10,000,000 for the duration of this Purchase Order. Certificates of insurance shall be provided to the buyer prior to the commencement of the Systems Engineer's on-site work in New Zealand Auckland.
- All personal data processed by the Systems Engineer in the course of this engagement shall be handled in strict compliance with the New Zealand Privacy Act 2020. Data shall be stored and processed exclusively within New Zealand borders.
- Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation between the parties. Should resolution not be achieved within thirty (30) days, the matter shall be referred to mediation under the New Zealand Disputes Standards, with the venue set in New Zealand Auckland.
- This Purchase Order may be amended only by written addendum signed by authorised representatives of both parties. No verbal modifications shall be binding.
