2. All work shall be conducted in compliance with New Zealand's Privacy Act 2020, the Health and Safety at Work Act 2015, and all applicable local bylaws of the Wellington City Council governing the New Zealand Wellington region.
3. The Systems Engineer shall maintain valid professional indemnity insurance of no less than NZD 5,000,000 and public liability insurance of no less than NZD 10,000,000 for the duration of the engagement in New Zealand Wellington.
4. Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall accrue interest at the rate prescribed under the New Zealand Commerce Act 1986.
5. The Supplier warrants that the Systems Engineer assigned to this Purchase Order holds a minimum of a Bachelor's degree in Computer Science, Electrical Engineering, or a related discipline, and possesses relevant professional certifications (e.g., TOGAF, AWS Solutions Architect, or equivalent).
6. All intellectual property, documentation, and deliverables produced under this Purchase Order shall vest in Wellington Infrastructure & Digital Systems Ltd. upon full payment. The Systems Engineer shall sign a non-disclosure agreement prior to commencing work in New Zealand Wellington.
7. Any variation to the scope of this Purchase Order must be agreed in writing by both parties. Unauthorised variations to the Systems Engineer's duties or project timeline shall not be binding.
8. Disputes arising from this Purchase Order shall be resolved through mediation in New Zealand Wellington in accordance with the New Zealand Disputes Resolution Act 2010, failing which the matter shall be referred to the District Court of Wellington.
9. The Supplier shall ensure the Systems Engineer complies with all site safety requirements at Wellington City Council premises and holds a valid New Zealand working visa or residency status for the duration of the contract.
10. This Purchase Order is governed by and construed in accordance with the laws of New Zealand. The courts of New Zealand Wellington shall have exclusive jurisdiction.
