This Purchase Order is issued by Meridian Technologies Asia-Pacific Inc. (hereinafter referred to as the "Buyer") to formally engage the services of a qualified Systems Engineer through Apex Workforce Solutions PH Ltd. (hereinafter referred to as the "Seller"). The Systems Engineer shall be assigned to the Buyer's primary operations center located in Philippines Manila, specifically at the Makati Business Center, and shall perform all duties and responsibilities consistent with the role of a senior-level Systems Engineer within the Buyer's IT infrastructure division.

The Systems Engineer engaged under this Purchase Order shall perform the following core functions while stationed at the Philippines Manila office:
- Architect, configure, and maintain the Buyer's on-premises and hybrid cloud server environments, ensuring 99.9% uptime across all production systems.
- Manage network infrastructure including firewalls, load balancers, DNS servers, and VLAN configurations specific to the Philippines Manila data center and satellite offices.
- Develop and execute disaster recovery and business continuity plans in compliance with the Philippine Data Privacy Act of 2012 (Republic Act No. 10173).
- Conduct regular security audits, vulnerability assessments, and patch management cycles for all systems under the Systems Engineer's purview.
- Collaborate with cross-functional teams in Philippines Manila to support application deployments, database migrations, and infrastructure scaling initiatives.
- Maintain comprehensive technical documentation, runbooks, and standard operating procedures for all managed systems.
- Provide technical mentorship to junior IT staff and participate in vendor management activities as directed by the Buyer.
3.1 This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon full execution by both parties. The Seller warrants that the Systems Engineer assigned shall possess a minimum of seven (7) years of progressive experience in enterprise systems engineering, hold at least one of the following certifications (AWS Solutions Architect, Cisco CCNP, or Microsoft Azure Administrator), and be legally authorized to work in the Philippines Manila metropolitan area.
3.2 The Systems Engineer shall work a standard schedule of Monday through Friday, 8:00 AM to 5:30 PM Philippine Standard Time, at the Buyer's designated workspace in Philippines Manila. Overtime and on-call duties shall be compensated in accordance with the Philippine Labor Code and the rates specified in this Purchase Order.
3.3 Payment shall be made via bank transfer to the Seller's designated account within thirty (30) calendar days from the date of receipt of a valid invoice. All amounts stated in this Purchase Order are denominated in Philippine Pesos (PHP) and are inclusive of 12% Value Added Tax (VAT) as required by the Bureau of Internal Revenue of the Philippines Manila jurisdiction.
3.4 Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination, the Buyer shall settle all outstanding invoices for services rendered up to the effective date of termination. The Systems Engineer shall return all company property, credentials, and confidential materials within five (5) business days of separation.
3.5 The Seller shall ensure that the Systems Engineer is covered by the required Social Security System (SSS), PhilHealth, and Pag-IBIG Fund contributions as mandated by Philippine law. The Seller shall also provide a valid Employer's Permit and all necessary documentation for employment in Philippines Manila.
3.6 All intellectual property, system configurations, documentation, and work product created by the Systems Engineer during the term of this Purchase Order shall be the sole property of the Buyer. The Systems Engineer shall execute a Non-Disclosure Agreement (NDA) prior to commencing work at the Philippines Manila facility.
3.7 This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Philippines Manila in accordance with the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI).
4. Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Systems Engineer in Philippines Manila.
