This Purchase Order is issued by Vostok Digital Infrastructure LLC (hereinafter referred to as the "Buyer") to Siberian Tech Solutions JSC (hereinafter referred to as the "Supplier") for the procurement and engagement of a qualified Systems Engineer to provide comprehensive technical services at the Buyer's primary operational facility located in Russia Moscow. The Systems Engineer shall be responsible for the design, implementation, maintenance, and optimization of enterprise-level IT infrastructure systems, including but not limited to server architectures, network configurations, cloud computing environments, cybersecurity protocols, and data center operations.

The Systems Engineer shall report directly to the Buyer's Chief Technology Officer and shall be physically stationed at the Buyer's headquarters in Russia Moscow for a minimum of five (5) business days per week. The scope of work encompasses the full lifecycle management of the Buyer's technology stack, including hardware provisioning, software deployment, system monitoring, incident response, capacity planning, and compliance with all applicable Russian Federation regulatory standards governing information technology and data protection.

3.1 Commencement and Duration: The engagement of the Systems Engineer under this Purchase Order shall commence on 1 August 2025 and shall continue for a period of twelve (12) months, unless terminated earlier in accordance with the provisions set forth herein. All services shall be rendered at the Buyer's designated facility in Russia Moscow.

3.2 Payment Terms: Payment for services rendered under this Purchase Order shall be made in monthly installments within fifteen (15) business days of receipt of a valid invoice from the Supplier. Payment shall be processed via bank transfer to the Supplier's designated account in accordance with Russian Federation banking regulations. The Buyer reserves the right to withhold payment for any services not rendered to the satisfaction of the Buyer's technical oversight committee.

3.3 Qualification Requirements: The Systems Engineer assigned to this Purchase Order must possess a minimum of eight (8) years of progressive experience in enterprise systems engineering, hold at least two (2) of the following certifications: CISSP, CCNA, AWS Solutions Architect Professional, or Microsoft Azure Solutions Architect Expert. The Systems Engineer must demonstrate fluency in both Russian and English to effectively communicate with the Buyer's international stakeholders while operating in Russia Moscow.

3.4 Confidentiality and Data Protection: The Systems Engineer shall be bound by a strict Non-Disclosure Agreement (NDA) and shall comply with all provisions of Federal Law No. 152-FZ "On Personal Data" of the Russian Federation. All data processed, stored, or transmitted by the Systems Engineer while performing duties in Russia Moscow shall remain the exclusive property of the Buyer and shall not be disclosed, copied, or transferred to any third party without prior written authorization.

3.5 Performance Standards: The Systems Engineer shall maintain a system uptime of no less than 99.95% across all managed infrastructure. Response time for critical incidents shall not exceed thirty (30) minutes, and resolution time for high-priority issues shall not exceed four (4) hours. Failure to meet these performance benchmarks for two (2) consecutive months shall constitute grounds for termination of this Purchase Order at the Buyer's sole discretion.

3.6 Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice to the other party. In the event of material breach by the Supplier, the Buyer may terminate immediately upon written notice. Upon termination, the Systems Engineer shall complete all outstanding tasks and deliver a comprehensive transition report within ten (10) business days.

3.7 Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Russian Federation. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration in Moscow, Russia Moscow, in accordance with the rules of the International Commercial Arbitration Court at the Chamber of Commerce and Industry of the Russian Federation.

3.8 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from circumstances beyond reasonable control, including but not limited to natural disasters, government sanctions, or acts of war affecting operations in Russia Moscow.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Systems Engineer to provide technical services at the Buyer's facility in Russia Moscow. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
