1. SCOPE OF PURCHASE – SYSTEMS ENGINEER ENGAGEMENTThis Purchase Order is issued by Al-Nakheel Digital Infrastructure Solutions Co. Ltd. (hereinafter referred to as the "Buyer") to GulfTech Professional Services & Consulting FZE (hereinafter referred to as the "Seller") for the procurement and engagement of a qualified Systems Engineer to provide specialized technical services at the Buyer's operational facility located in Saudi Arabia Jeddah. The Systems Engineer shall be responsible for the design, implementation, monitoring, and maintenance of the Buyer's enterprise IT infrastructure, including but not limited to server architectures, network systems, cloud environments, cybersecurity frameworks, and data center operations. All services under this Purchase Order shall be performed exclusively within the jurisdiction of Saudi Arabia Jeddah, in full compliance with the Saudi Arabian General Investment Authority (SAGIA) regulations, the Ministry of Human Resources and Social Development (MHRSD) labor laws, and all applicable local municipal and industrial codes governing the city of Jeddah.

All Systems Engineer personnel engaged under this Purchase Order shall report to the Buyer's primary facility at King Fahd Road, Al-Shati District, Saudi Arabia Jeddah, no later than 30 June 2025. The Seller shall ensure that each Systems Engineer holds a valid Iqama (residence permit) and work authorization issued by the Saudi Arabian government, and that all labor contracts comply with the Saudi Labor Law (Royal Decree No. M/51). The Seller is responsible for obtaining all necessary visas, work permits, and professional certifications required for the Systems Engineer to legally perform duties within Saudi Arabia Jeddah.
4. PAYMENT TERMSPayment for this Purchase Order shall be made in quarterly installments via bank transfer to the Seller's designated account in Saudi Arabia. Each installment shall be due within thirty (30) calendar days from the date of receipt of a valid invoice. The Buyer reserves the right to withhold payment for any deliverable that does not meet the specifications outlined in this Purchase Order. All payments shall be denominated in Saudi Riyals (SAR) and processed through a licensed Saudi Arabian financial institution.
5. TERMS AND CONDITIONS- This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both authorized representatives. All services shall be rendered in Saudi Arabia Jeddah unless otherwise agreed in writing.
- The Systems Engineer personnel shall adhere to all Saudi Arabian data protection regulations, including the Personal Data Protection Law (PDPL) and the National Cybersecurity Authority (NCA) Essential Cybersecurity Controls (ECC).
- The Seller warrants that all Systems Engineer candidates possess a minimum of five (5) years of relevant professional experience, hold recognized certifications (e.g., AWS Solutions Architect, Cisco CCNP/CCIE, Microsoft Azure Administrator), and meet the Saudization (Nitaqat) requirements where applicable.
- Any modification, amendment, or cancellation of this Purchase Order must be documented in a written change order signed by both parties. Verbal agreements regarding the scope of the Systems Engineer engagement shall not be binding.
- The Seller shall maintain comprehensive professional indemnity and liability insurance covering all Systems Engineer activities performed in Saudi Arabia Jeddah, with a minimum coverage of SAR 5,000,000 per occurrence.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to the Jeddah Commercial Court in Saudi Arabia for adjudication under Saudi Arabian law.
- The Systems Engineer shall be subject to the Buyer's internal IT security policies, code of conduct, and confidentiality agreements. All intellectual property developed during the engagement shall remain the sole property of the Buyer.
- This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Kingdom of Saudi Arabia. The venue for any legal proceedings shall be the courts of Jeddah, Saudi Arabia.
