This Purchase Order is issued by Al-Riyadh Infrastructure Solutions Co., Ltd. to procure the professional services of a qualified Systems Engineer to be deployed and performing duties within the city of Saudi Arabia Riyadh. The Systems Engineer shall be responsible for the design, implementation, testing, and ongoing maintenance of the enterprise IT infrastructure, including but not limited to server architectures, network topologies, cloud migration frameworks, cybersecurity protocols, and data center operations. All work shall be conducted in compliance with the Saudi Data and AI Authority (SDAIA) regulations, the National Cybersecurity Authority (NCA) standards, and the applicable labor laws of the Kingdom of Saudi Arabia.

- Acceptance: This Purchase Order shall become binding upon written acceptance by the Supplier. The Supplier must confirm acceptance in writing within five (5) business days of receipt of this document.
- Commencement: The Systems Engineer shall report for duty at the Buyer's headquarters located in Saudi Arabia Riyadh no later than 1 August 2025. Failure to commence within the stipulated period shall entitle the Buyer to cancel this Purchase Order without penalty.
- Payment Terms: Payment shall be made in monthly installments via bank transfer to the Supplier's designated account. Invoices must be submitted by the 5th of each month for services rendered in the preceding month. Payment shall be processed within thirty (30) days of invoice receipt.
- Compliance: The Systems Engineer shall adhere to all applicable laws and regulations of the Kingdom of Saudi Arabia, including but not limited to the Saudi Labor Law, the Anti-Cyber Crime Law, and the regulations issued by the National Cybersecurity Authority (NCA) and the Saudi Data and AI Authority (SDAIA).
- Confidentiality: The Systems Engineer shall sign a Non-Disclosure Agreement (NDA) prior to commencing work. All data, system architectures, and proprietary information encountered during the engagement in Saudi Arabia Riyadh shall remain the exclusive property of the Buyer.
- Performance Standards: The Systems Engineer shall maintain a minimum system uptime of 99.9% for all critical infrastructure. Monthly performance reports shall be submitted to the Buyer's IT Director by the 3rd business day of each month.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes shall be resolved through the competent courts in Saudi Arabia Riyadh.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, government mandates, or pandemics affecting operations in Saudi Arabia Riyadh.
