This Purchase Order is issued to formally procure the professional services of a qualified Systems Engineer to be deployed and operational in Senegal Dakar for the duration of the contract period specified herein. The Systems Engineer shall be responsible for the design, implementation, configuration, and ongoing maintenance of the Buyer's enterprise IT infrastructure, including but not limited to server architectures, network topologies, cloud integration platforms, and cybersecurity frameworks. All services rendered under this Purchase Order shall be physically executed at the Buyer's primary data center facility located in the Plateau district of Senegal Dakar, with the possibility of on-site support at secondary locations within the greater Dakar metropolitan area as required by project milestones.

- This Purchase Order is governed by the laws of the Republic of Senegal and shall be interpreted in accordance with the Senegalese Commercial Code and applicable labor regulations pertaining to professional services engagements in Senegal Dakar.
- The Systems Engineer engaged under this Purchase Order must hold a minimum of five (5) years of documented professional experience in enterprise systems engineering, possess relevant certifications (such as AWS Solutions Architect, Cisco CCNP, or equivalent), and demonstrate proficiency in both English and French to facilitate effective communication with all stakeholders in Senegal Dakar.
- All work performed under this Purchase Order shall be carried out in strict compliance with the data protection and information security regulations enforced by the Senegalese regulatory authority (ANPD — Agence Nationale de Protection des Données à Caractère Personnel). The Systems Engineer shall sign a non-disclosure agreement (NDA) prior to commencing any work in Senegal Dakar.
- The Supplier shall ensure that the Systems Engineer is properly registered with the relevant Senegalese labor and social security authorities. All statutory contributions, including CNSS (Caisse Nationale de Sécurité Sociale) and tax withholdings applicable in Senegal Dakar, shall be the responsibility of the Supplier.
- Payment shall be made in CFA Francs (XOF) via bank transfer to the Supplier's designated account in Senegal Dakar within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-SD-2025-04782) and the applicable line item.
- The Buyer reserves the right to request a replacement of the Systems Engineer if performance does not meet the agreed-upon service level objectives (SLAs) outlined in the attached Statement of Work. Any replacement must be approved in writing by the Buyer's Procurement Director within ten (10) business days.
- This Purchase Order may be amended only by mutual written agreement of both parties. No verbal modifications shall be considered binding. All amendments must reference the original Purchase Order number and be countersigned by authorized representatives of both parties in Senegal Dakar.
- In the event of a dispute arising from this Purchase Order, the parties shall first attempt resolution through good-faith negotiation. Should negotiation fail, the dispute shall be submitted to the competent commercial courts of Senegal Dakar for adjudication.
- The Supplier warrants that all services delivered by the Systems Engineer shall be performed in a professional, workmanlike manner and in accordance with industry best practices. The Supplier shall indemnify the Buyer against any claims, losses, or damages arising from negligence, gross misconduct, or breach of this Purchase Order by the Systems Engineer or any subcontractor.
- This Purchase Order shall remain in full force and effect for a period of twelve (12) months from the date of commencement, unless terminated earlier in accordance with the termination clauses herein. Either party may terminate this Purchase Order with sixty (60) days' written notice in the event of material breach by the other party.
The Systems Engineer shall commence duties no later than 01 July 2025 at the Buyer's primary facility in Senegal Dakar. The engagement period shall run from 01 July 2025 through 30 June 2026, subject to the terms and conditions set forth in this Purchase Order. The Supplier shall ensure that the Systems Engineer is fully onboarded, equipped with necessary credentials, and operational at the Senegal Dakar site by the commencement date.
