This Purchase Order is issued by Meridian Infrastructure Solutions Pte. Ltd. (hereinafter referred to as the "Buyer") to Apex Technical Consulting Group Pte. Ltd. (hereinafter referred to as the "Supplier") for the engagement of a qualified Systems Engineer to provide comprehensive technical services for the Buyer's data centre modernisation project located in Singapore Singapore. The Systems Engineer shall be responsible for the design, implementation, testing, and ongoing maintenance of the Buyer's enterprise-level IT infrastructure, including but not limited to server architecture, network topology, cloud integration systems, and cybersecurity frameworks. All services rendered under this Purchase Order shall be performed exclusively within the jurisdiction of Singapore Singapore, in full compliance with the Information and Communications Development Authority (ICDA) regulations and the Personal Data Protection Act (PDPA) of Singapore Singapore.

The Systems Engineer engaged under this Purchase Order shall deliver the following milestones within the stipulated timelines. All deliverables shall be submitted to the Buyer's project management office at the designated site in Singapore Singapore. The Systems Engineer is expected to maintain a minimum of 99.9% system uptime throughout the engagement period and shall provide weekly progress reports to the Buyer's Director of Operations. Any deviations from the agreed scope must be documented in a formal change request and approved in writing by both parties before implementation. The Systems Engineer shall adhere to all applicable building and safety regulations as enforced by the Building and Construction Authority (BCA) of Singapore Singapore.
5.1 This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Singapore Singapore. Any disputes arising from this Purchase Order shall be resolved through arbitration in Singapore Singapore under the rules of the Singapore International Arbitration Centre (SIAC).
5.2 The Supplier warrants that the Systems Engineer assigned to this Purchase Order holds a minimum of a Bachelor's degree in Computer Science, Information Technology, or a related engineering discipline, and possesses at least eight (8) years of progressive experience in enterprise systems engineering within Singapore Singapore or equivalent international markets.
5.3 Payment shall be made in Singapore Dollars (SGD) via bank transfer to the Supplier's designated account. Invoices shall be submitted monthly, and payment shall be processed within thirty (30) calendar days from the date of invoice receipt. Late payments shall attract interest at the rate of 5% per annum as stipulated under the Late Payment of Interest Act of Singapore Singapore.
5.4 The Supplier shall maintain professional indemnity insurance with a minimum coverage of SGD 2,000,000 and public liability insurance of SGD 1,000,000 for the duration of this Purchase Order. Certificates of insurance shall be provided to the Buyer prior to the commencement of services in Singapore Singapore.
5.5 The Systems Engineer shall be bound by strict confidentiality obligations regarding all proprietary information, trade secrets, and sensitive data of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
5.6 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall complete all in-progress deliverables and provide a comprehensive handover document to the Buyer within fourteen (14) days of the termination effective date.
5.7 All work performed under this Purchase Order shall be conducted in compliance with the Employment Act, the Work Injury Benefits Act, and all relevant labour regulations of Singapore Singapore. The Supplier is solely responsible for the employment terms, statutory contributions (CPF), and welfare of the Systems Engineer and any supporting personnel.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Systems Engineer to deliver professional technical services in Singapore Singapore. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon execution by both authorized signatories.
