- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain, with specific reference to the commercial regulations applicable in the region of Spain Barcelona. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Barcelona, Spain.
- Commencement and Duration: The Systems Engineer engagement shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, unless terminated earlier in accordance with Clause 7. All work shall be performed primarily at the Buyer's premises in Spain Barcelona, with the Systems Engineer expected to maintain a physical presence at the Barcelona office for a minimum of twenty (20) working days per month.
- Payment Terms: Payment for this Purchase Order shall be made in monthly installments via direct bank transfer (SEPA) to the Seller's designated account. - Qualifications and Compliance: The Systems Engineer assigned under this Purchase Order must hold a minimum of eight (8) years of professional experience in enterprise systems engineering, possess relevant certifications (e.g., AWS Solutions Architect, Cisco CCIE, or equivalent), and comply with all data protection regulations under the Spanish Organic Law 3/2018 (LOPDGDD) and the EU General Data Protection Regulation (GDPR) as applicable in Spain Barcelona.
- Intellectual Property: All documentation, designs, configurations, code, and deliverables produced by the Systems Engineer in the course of fulfilling this Purchase Order shall be the exclusive property of the Buyer. The Systems Engineer and the Seller hereby assign all intellectual property rights to Barcelona Digital Infrastructure S.L. upon full payment.
- Confidentiality: The Systems Engineer shall be bound by a strict non-disclosure agreement covering all proprietary information, trade secrets, client data, and operational details of the Buyer encountered during the engagement in Spain Barcelona. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of material breach by the Seller or failure of the Systems Engineer to meet agreed service-level objectives (SLAs), the Buyer may terminate this Purchase Order with immediate effect and without liability for remaining fees.
- Insurance and Liability: The Seller shall maintain professional indemnity insurance with a minimum coverage of EUR 500,000 and public liability insurance of EUR 1,000,000 for the duration of this Purchase Order. The Systems Engineer shall be covered under the Seller's employer's liability and workers' compensation insurance as required by Spanish labor law.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government mandates, or civil unrest affecting the Spain Barcelona region, provided that the affected party notifies the other within five (5) business days.
- Amendments: No modification, amendment, or supplement to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. All amendments shall reference this Purchase Order number (PO-2025-SP-04872) explicitly.
