This Purchase Order is issued by IberiaTech Solutions S.L. to procure the professional services of a qualified Systems Engineer to be deployed at our primary operations centre located in Spain Madrid. The engagement of this Systems Engineer is critical to the completion of our enterprise infrastructure modernisation programme, which encompasses the design, implementation, testing, and ongoing maintenance of integrated hardware and software systems supporting our client-facing platforms.

The Systems Engineer engaged under this Purchase Order shall be responsible for the end-to-end architecture, configuration, deployment, and optimisation of server environments, network infrastructure, virtualisation platforms, and cloud-hybrid integration layers. All work shall be performed on-site at the Spain Madrid facility unless otherwise agreed in writing by both parties. The Systems Engineer must hold a minimum of seven (7) years of demonstrable professional experience in enterprise systems engineering, with specific proficiency in Linux-based server environments, Microsoft Windows Server, VMware vSphere, Cisco networking equipment, and AWS/Azure cloud service architectures.

The Systems Engineer contracted under this Purchase Order shall deliver the following at the Spain Madrid site (Paseo de la Castellana 120, 28046):

• Complete design and implementation of a redundant, high-availability server cluster supporting a minimum of 5,000 concurrent user sessions.
• Migration of legacy on-premise workloads to a hybrid cloud environment with seamless failover capabilities.
• Configuration and hardening of all network security appliances, firewalls, and intrusion detection systems within the Spain Madrid data centre.
• Production of comprehensive technical documentation, including architecture diagrams, runbooks, and disaster recovery procedures.
• Monthly performance reviews and capacity planning reports submitted to the Project Director no later than the 5th business day of each month.
• Full compliance with Spanish data protection regulations (LOPDGDD) and the EU General Data Protection Regulation (GDPR) in all system configurations.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain.
2. Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Invoices shall be submitted monthly in arrears. All payments shall be made via bank transfer to the account designated by the vendor. Late payments shall accrue interest at the rate established under Spanish commercial law.
3. Commencement and Duration: The Systems Engineer services shall commence on 1 July 2025 and continue for a period of six (6) months, unless terminated earlier in accordance with Clause 7. The work location is exclusively the Spain Madrid office unless a remote work arrangement is mutually agreed in writing.
4. Confidentiality: The Systems Engineer shall maintain strict confidentiality regarding all proprietary information, trade secrets, client data, and system architectures encountered during the engagement. A separate Non-Disclosure Agreement (NDA) executed prior to commencement is a condition precedent to this Purchase Order.
5. Intellectual Property: All work product, documentation, code, configurations, and deliverables created by the Systems Engineer in the course of this Purchase Order shall be the sole and exclusive property of IberiaTech Solutions S.L.
6. Insurance and Liability: The vendor shall maintain professional indemnity insurance with a minimum coverage of EUR 1,000,000 per claim throughout the duration of this Purchase Order. The vendor shall be liable for any damages arising from negligence, gross misconduct, or breach of the terms herein.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Systems Engineer shall return all company property, credentials, and documentation within five (5) business days.
8. Health and Safety: The Systems Engineer shall comply with all applicable Spanish occupational health and safety regulations (Ley de Prevención de Riesgos Laborales) while working at the Spain Madrid premises.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Systems Engineer in Spain Madrid. This document constitutes a binding procurement agreement effective from the date of the last signature.
