3. Scope of Work – Systems Engineer ServicesThis Purchase Order is issued by Tecnologías Avanzadas del Mediterráneo S.L. to formally engage the services of a qualified Systems Engineer for the design, deployment, and ongoing maintenance of enterprise-level IT infrastructure located at our primary operational facility in Spain Valencia. The Systems Engineer shall be responsible for the complete lifecycle management of server systems, network architecture, cloud integration, cybersecurity protocols, and disaster recovery planning. All professional activities under this Purchase Order shall be executed in compliance with the applicable regulations of the Comunitat Valenciana and the broader Spanish legal framework governing professional engineering services, including Royal Decree 1591/1997 on professional qualifications and the Ley 2/2011 de la Comunitat Valenciana de Ordenación y Disciplina Profesional.

- Payment shall be made via direct bank transfer (SEPA) to the account designated by the Systems Engineer within thirty (30) calendar days from the date of invoice receipt.
- For Line Items 01 through 04, payment shall be structured in monthly progress payments aligned with milestone completion as verified by the Procurement Director.
- For Line Item 05 (ongoing maintenance), payment shall be made in quarterly instalments of €52,500.00 (excl. VAT) in advance.
- A retention of five percent (5%) shall be withheld from each milestone payment and released upon final acceptance of the complete project scope.
- All amounts are denominated in Euros (EUR) and are subject to the standard 21% Spanish Value Added Tax (IVA) as applicable in the Comunitat Valenciana region.
- This Purchase Order constitutes a binding agreement between the parties upon signature and shall be governed by the laws of the Kingdom of Spain, with exclusive jurisdiction of the courts of Valencia, Comunitat Valenciana.
- The Systems Engineer shall maintain all professional liability insurance (seguro de responsabilidad civil profesional) with a minimum coverage of €1,000,000.00 for the duration of the engagement.
- All work shall be performed at the buyer's premises located in Spain Valencia unless otherwise agreed in writing. The Systems Engineer shall comply with all workplace safety regulations applicable in the Comunitat Valenciana.
- Intellectual property developed specifically for the buyer under this Purchase Order shall vest in Tecnologías Avanzadas del Mediterráneo S.L. upon full payment.
- Confidentiality obligations shall survive the termination of this Purchase Order for a period of five (5) years, in accordance with the Spanish Ley de Propiedad Intelectual 1/1996.
- Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Systems Engineer shall be compensated for all work completed and documented up to the termination date.
- Any disputes arising from this Purchase Order shall first be subject to mediation before the Centro de Mediación de la Comunitat Valenciana before proceeding to judicial proceedings.
By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Systems Engineer in Spain Valencia.
