4.1 This Purchase Order constitutes a binding agreement between Meridian Technology Solutions Co., Ltd. and Apex Systems Engineering & Consulting (Thailand) Co., Ltd. upon acceptance and signature by both parties. All services described herein shall be performed by a certified Systems Engineer or a team of Systems Engineers meeting the qualifications specified in Appendix A of the master service agreement.

4.2 All on-site work, including but not limited to server room access, network configuration, and physical hardware installation, shall take place at the designated facilities in Thailand Bangkok. The Systems Engineer must comply with all site safety protocols, building access regulations, and data center operational procedures in effect at the Thailand Bangkok locations.

4.3 The Systems Engineer shall submit weekly progress reports to the Procurement Department of Meridian Technology Solutions. All deliverables, including architecture diagrams, configuration documentation, and compliance reports, must be submitted in both English and Thai to ensure full accessibility for the Thailand Bangkok operations team.

4.4 Payment shall be processed within thirty (30) calendar days from the date of invoice receipt, provided that all deliverables for the corresponding period have been accepted in writing by the Project Manager. Invoices must reference this Purchase Order number (MTS-2025-04782) and include the vendor's VAT registration number.

4.5 The Systems Engineer is required to maintain professional liability insurance with a minimum coverage of THB 10,000,000 for the duration of the engagement in Thailand Bangkok. Proof of insurance must be provided prior to commencing on-site work.

4.6 Any changes to the scope of work, additional Systems Engineer hours, or modifications to the service delivery schedule in Thailand Bangkok must be documented through a formal Change Order signed by both parties before execution.

4.7 This Purchase Order is governed by the laws of the Kingdom of Thailand. Any disputes arising from this Purchase Order shall be resolved through arbitration in Thailand Bangkok in accordance with the rules of the Thai Arbitration Institute.

4.8 The Systems Engineer shall adhere to all applicable Thai labor laws, immigration regulations, and professional engineering standards. Any foreign Systems Engineer personnel must hold valid work permits issued by the Ministry of Labour, Thailand Bangkok.

Note 1: The Systems Engineer assigned to this Purchase Order must hold a minimum of five (5) years of experience in enterprise IT infrastructure and possess relevant certifications (e.g., Cisco CCIE, AWS Solutions Architect, or equivalent). The vendor shall submit the Systems Engineer's CV and certification copies for approval prior to the start date.

Note 2: All work products, intellectual property, and documentation generated under this Purchase Order shall remain the exclusive property of Meridian Technology Solutions Co., Ltd. The Systems Engineer shall sign a Non-Disclosure Agreement (NDA) specific to the Thailand Bangkok operations before accessing any proprietary systems.

Note 3: The vendor is responsible for arranging all travel, accommodation, and local transportation for the Systems Engineer within Thailand Bangkok. These costs are included in the unit prices stated above and shall not be billed separately.

Note 4: This Purchase Order is valid for a period of thirty (30) days from the date of issue. If not accepted within this period, the Purchase Order shall automatically expire and must be reissued.
