This Purchase Order is issued by Anatolia Digital Infrastructure A.Ş. (hereinafter referred to as the "Buyer") to Meridian Technical Solutions Ltd. (hereinafter referred to as the "Supplier") for the procurement of specialized Systems Engineer professional services. The Systems Engineer shall be engaged to design, implement, test, and maintain integrated IT infrastructure systems for the Buyer's data center operations located in the Levent district of Turkey Istanbul. The scope of work encompasses network architecture design, server provisioning, cloud migration planning, cybersecurity hardening, and ongoing technical support for all hardware and software assets deployed within the Buyer's facilities in Turkey Istanbul.
The Systems Engineer shall possess a minimum of eight (8) years of documented professional experience in enterprise-level systems engineering, including but not limited to VMware vSphere administration, Cisco networking, Microsoft Azure and AWS cloud platforms, and Linux/Windows Server operating systems. The Systems Engineer must hold at least one of the following certifications: Cisco CCNP, VMware VCP, Microsoft Azure Solutions Architect Expert, or AWS Solutions Architect Professional. All qualifications will be verified prior to the commencement of services in Turkey Istanbul.

4.1 Place of Performance: All services under this Purchase Order shall be performed at the Buyer's premises located in the Levent Business District, Turkey Istanbul, or at such other locations within Turkey Istanbul as mutually agreed in writing. The Systems Engineer shall be physically present at the designated Turkey Istanbul site for a minimum of five (5) working days per week.
4.2 Commencement and Duration: The Systems Engineer engagement shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, unless terminated earlier in accordance with Clause 4.7. This Purchase Order is valid for acceptance until 14 September 2025.
4.3 Payment Terms: Payment shall be made in monthly installments within thirty (30) calendar days of receipt of a valid invoice from the Supplier. Invoices shall reference this Purchase Order number (PO-2025-IST-04872) and shall be submitted to the Buyer's accounts payable department in Turkey Istanbul. Late payments shall accrue interest at the rate prescribed by Turkish commercial law.
4.4 Confidentiality and Data Protection: The Systems Engineer shall comply with all applicable Turkish data protection regulations (KVKK – Kişisel Verilerin Korunması Kanunu) and the Buyer's internal confidentiality policies. All system credentials, architectural documentation, and proprietary data accessed during the engagement in Turkey Istanbul shall remain the exclusive property of the Buyer.
4.5 Intellectual Property: All work product, designs, configurations, and documentation created by the Systems Engineer in the course of fulfilling this Purchase Order shall be deemed work-for-hire and shall vest exclusively in the Buyer upon full payment.
4.6 Compliance with Local Law: The Supplier and the Systems Engineer shall comply with all applicable laws and regulations of the Republic of Turkey, including labor law, tax obligations, and professional engineering standards as enforced in Turkey Istanbul.
4.7 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect accrued payment obligations.
4.8 Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising herefrom shall be resolved by the competent courts in Turkey Istanbul, or by arbitration under the rules of the Istanbul Arbitration Centre (ISTAC) if both parties so agree.
5. Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Systems Engineer in Turkey Istanbul. This document constitutes a binding agreement upon execution by both authorized representatives.
