This Purchase Order is issued by Al Noor Technology Solutions LLC ("the Buyer") to Meridian IT Consulting FZ-LLC ("the Vendor") for the procurement and placement of a qualified Systems Engineer to support the Buyer's enterprise infrastructure division. The Systems Engineer shall be engaged on a fixed-term contract basis for a period of twelve (12) months, commencing on 1 August 2025, with the primary work location situated at the Buyer's headquarters in United Arab Emirates Dubai. This Purchase Order governs all commercial, operational, and compliance terms associated with the engagement of the Systems Engineer and shall be read in conjunction with the Master Service Agreement (MSA-2024-0091) executed between the parties.

The Systems Engineer engaged under this Purchase Order shall be responsible for the design, deployment, monitoring, and maintenance of the Buyer's data centre infrastructure, virtualised environments (VMware vSphere 8.x), network architecture, and cloud-hybrid systems. The Systems Engineer shall operate in accordance with the UAE Information and Communications Technology (ICT) regulatory framework and shall ensure all systems comply with the National Cybersecurity Centre (NCC) guidelines. The role requires a minimum of eight (8) years of progressive experience in enterprise systems engineering, with demonstrated proficiency in Linux (RHEL 9), Windows Server 2022, Cisco IOS/XE, and AWS/Azure cloud platforms. The Systems Engineer shall report directly to the Buyer's Director of Infrastructure, based in United Arab Emirates Dubai, and shall be available for on-call support during critical incident windows as defined in the SLA annex.

5.1 This Purchase Order is subject to the terms of the Master Service Agreement (MSA-2024-0091) and the UAE Commercial Transactions Law (Federal Decree-Law No. 50 of 2022).
5.2 The Vendor shall ensure the Systems Engineer holds a valid UAE residence visa, Emirates ID, and all necessary work permits prior to the commencement date. All visa and immigration costs are included in Line Item 2.
5.3 The Systems Engineer shall be subject to a comprehensive background check conducted in accordance with UAE Federal Law No. 3 of 2016 (Combating Rumours and Cybercrimes) and the Buyer's internal security clearance policy.
5.4 Payment shall be made via bank transfer to the Vendor's designated account in AED within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall accrue interest at the rate of 1.5% per month as permitted under UAE law.
5.5 The Vendor warrants that the Systems Engineer shall not be engaged in any conflicting employment or consultancy arrangement during the term of this Purchase Order.
5.6 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall be liable for all services rendered up to the effective date of termination, including a pro-rata portion of the Systems Engineer engagement fee.
5.7 All disputes arising from this Purchase Order shall be resolved through arbitration in United Arab Emirates Dubai in accordance with the rules of the Dubai International Arbitration Centre (DIAC).
5.8 This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, with specific reference to the commercial regulations applicable in United Arab Emirates Dubai.

This Purchase Order is issued and authorised by the undersigned on behalf of Al Noor Technology Solutions LLC. The Vendor's acceptance of this Purchase Order shall constitute a binding commitment to deliver the Systems Engineer services as specified herein. No modification to this Purchase Order shall be valid unless executed in writing and signed by both parties.
