5.1 This Purchase Order constitutes a binding agreement between the Buyer and the Vendor upon full execution by both parties. All services described herein shall be performed by a qualified Systems Engineer or team of Systems Engineers assigned by the Vendor, operating primarily out of the United States Los Angeles metropolitan area.
5.2 The Systems Engineer shall comply with all applicable federal, state (California), and local (City of Los Angeles) regulations, including but not limited to data privacy laws, building codes for server room installations, and occupational safety standards.
5.3 Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-LA-04872) and itemize all services rendered by the Systems Engineer during the billing period.
5.4 The Vendor warrants that the Systems Engineer assigned to this engagement holds current certifications including but not limited to CompTIA Security+, AWS Solutions Architect, and Cisco CCNA/CCNP. Proof of certification shall be provided prior to commencement of work.
5.5 All intellectual property, system designs, network topologies, and documentation created by the Systems Engineer in the course of fulfilling this Purchase Order shall become the sole property of Pacific Infrastructure Solutions, Inc.
5.6 The Vendor shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence, valid throughout the United States and specifically covering operations in Los Angeles, California.
5.7 Termination may be effected by either party with thirty (30) days written notice. In the event of termination, the Buyer shall compensate the Vendor for all services rendered by the Systems Engineer up to the effective date of termination.
5.8 This Purchase Order is governed by the laws of the State of California. Any disputes arising hereunder shall be resolved through binding arbitration in Los Angeles, California, United States.
6. Acceptance & AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Systems Engineer in United States Los Angeles.
