This Purchase Order is issued to formally authorize the procurement of professional Systems Engineer services to be performed at the buyer's primary operational facility located in United States San Francisco. - Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by the vendor. The vendor must return a signed copy of this Purchase Order within five (5) business days of receipt.
- Performance Location: All on-site services rendered by the Systems Engineer shall be performed at the buyer's facility in United States San Francisco, California, or at such other locations within the San Francisco Bay Area as mutually agreed in writing.
- Compliance: The Systems Engineer and the vendor shall comply with all applicable United States federal laws, California state regulations, and United States San Francisco municipal ordinances, including but not limited to data privacy (CCPA), workplace safety (Cal/OSHA), and professional licensing requirements.
- Intellectual Property: All work product, designs, documentation, and deliverables created by the Systems Engineer under this Purchase Order shall be the sole and exclusive property of Meridian Technology Solutions, Inc.
- Confidentiality: The Systems Engineer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and sensitive data encountered during the course of this engagement. A separate Non-Disclosure Agreement (NDA) is attached as Exhibit A.
- Payment Schedule: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) days of invoice receipt. Late payments shall accrue interest at 1.5% per month.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the vendor shall be compensated for all services rendered through the effective date of termination.
- Insurance: The vendor shall maintain professional liability insurance of no less than $2,000,000 per occurrence and general liability insurance of no less than $1,000,000, naming the buyer as an additional insured.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, with venue in the Superior Court of San Francisco County, United States San Francisco.
- Dispute Resolution: Any disputes arising under this Purchase Order shall first be subject to good-faith mediation in United States San Francisco before proceeding to binding arbitration under the rules of the American Arbitration Association.
