3.1 Delivery and Location
All completed garments shall be delivered to the buyer's premises at Av. Hipólito Yrigoyen 1247, Córdoba, Argentina, no later than 15 August 2025. The tailor is responsible for all logistics, packaging, and transportation within the Córdoba metropolitan area. Partial deliveries are not permitted unless expressly authorized in writing by the Procurement Manager.
3.2 Quality Standards and Tailoring Specifications
The master tailor and his team shall adhere to the following quality benchmarks: all seams must be double-stitched with a minimum of 12 stitches per inch; lapels and collars must be hand-padded and hand-stitched; all buttons must be securely attached with reinforced thread; and each garment must pass a three-point quality inspection (fabric integrity, stitch alignment, and dimensional accuracy) before being marked as complete. The tailor shall provide fabric samples for buyer approval prior to commencing bulk cutting. All materials must comply with Argentine textile labeling regulations (Decreto 148/2004) and carry proper origin markings.
3.3 Payment Schedule
Payment shall be made in three installments: 40% upon signing of this Purchase Order and confirmation of fabric selection; 35% upon completion of the mid-process fitting inspection; and 25% upon final delivery and acceptance of all garments. All payments shall be made via bank transfer to the supplier's account registered under CUIT 20-19876543-2. Invoices must be issued in accordance with Argentine AFIP electronic invoicing requirements (Factura Electrónica).
3.4 Modifications and Cancellations
Any modification to the specifications, quantities, or delivery schedule outlined in this Purchase Order must be submitted in writing by the buyer and approved in writing by the tailor before any additional work is commenced. Cancellations after the fabric cutting stage will incur a 50% penalty on the affected line items. The tailor reserves the right to reject modification requests that would compromise structural integrity or exceed the workshop's production capacity in Córdoba.
3.5 Intellectual Property and Confidentiality
All design specifications, measurement data, and corporate branding elements provided by the buyer remain the exclusive property of Andes Corporate Attire S.A. The tailor shall not reproduce, photograph, or display any garments produced under this Purchase Order for marketing purposes without prior written consent. This confidentiality obligation extends to all employees and subcontractors of the tailor's workshop in Córdoba.
3.6 Dispute Resolution and Governing Law
This Purchase Order shall be governed by and interpreted in accordance with the laws of the Argentine Republic, specifically the Argentine Civil and Commercial Code (Código Civil y Comercial de la Nación, Ley 26.994). Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation between the parties. If resolution is not achieved within 30 days, the matter shall be submitted to the competent commercial courts of the city of Córdoba, Argentina. Both parties waive the right to jury trial.
3.7 Force Majeure
Neither party shall be liable for delays or failures in performance resulting from events beyond their reasonable control, including but not limited to natural disasters affecting the Córdoba region, government-mandated closures, supply chain disruptions, or public health emergencies. The affected party must notify the other in writing within 5 business days of the occurrence of such event.
