All bespoke garments and materials under this Purchase Order shall be delivered to the Buyer's premises at Level 12, 200 George Street, Sydney NSW 2000, Australia. The Tailor shall arrange secure, climate-controlled transport from their workshop in Newtown, Australia Sydney, to the Buyer's location. Delivery is to be completed no later than 29 July 2025. The Tailor shall provide a written delivery confirmation and a detailed packing list with each shipment. Any garments requiring final pressing or minor adjustments shall be completed by the Tailor prior to dispatch.
- Acceptance: This Purchase Order is valid for acceptance within five (5) business days of the date of issue. The Tailor shall confirm acceptance in writing via email to the Buyer's Procurement Manager.
- Quality Standards: All garments and services shall meet the quality standards expected of a master Tailor in Australia Sydney. The Buyer reserves the right to inspect all items upon delivery and reject any goods that do not conform to the agreed specifications.
- Payment: Payment of the full Purchase Order amount of $161,755.00 AUD (inclusive of GST) shall be made within thirty (30) days of the date of invoice, via bank transfer to the account nominated by the Tailor. A 50% deposit is due upon acceptance of this Purchase Order.
- Warranty: The Tailor warrants that all bespoke garments shall be free from defects in workmanship and materials for a period of twelve (12) months from the date of delivery. Any defects shall be repaired or replaced at no additional cost to the Buyer.
- Confidentiality: The Tailor agrees to maintain strict confidentiality regarding the Buyer's corporate identity, employee details, and any proprietary design specifications provided in connection with this Purchase Order.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting Australia Sydney, government-mandated closures, or supply chain disruptions.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes shall be resolved through the courts of Australia Sydney.
- Changes: Any amendments to this Purchase Order must be agreed upon in writing by both the Buyer and the Tailor prior to implementation.
Note 1: The Tailor is requested to schedule the first fitting session for the bespoke suits no later than 20 June 2025. All measurements shall be taken in person by the Tailor or their senior assistant at the Buyer's Sydney office.
Note 2: All garments must be labelled with the Buyer's corporate logo (embroidered, left breast pocket area) and a unique internal reference number as per the attached schedule.
Note 3: The Tailor shall provide a written progress report to the Buyer every two weeks until all items under this Purchase Order are completed and delivered.
Note 4: In the event of any delay exceeding five (5) business days beyond the required delivery date, the Buyer reserves the right to apply a penalty of 1.5% of the total Purchase Order value per week of delay, up to a maximum of 10%.
