- This Purchase Order is issued by Al-Noor Garments & Textile Trading Co., Ltd., Dhaka, Bangladesh, and constitutes a binding agreement upon acceptance by the named Tailor, Shanti Tailor House & Custom Garment Workshop, located in Chawkbazar, Dhaka.
- The Tailor shall complete all stitching, tailoring, embroidery, and finishing work strictly in accordance with the pattern sheets, fabric specifications, and quality standards provided by the buyer. Any deviation from the approved patterns must be reported to the buyer's quality team before production begins.
- All work shall be performed at the Tailor's workshop in Dhaka, Bangladesh, using the buyer-supplied fabrics and trims. The Tailor is responsible for the safekeeping of all materials until final delivery.
- Delivery of all 430 finished items shall be made to the buyer's warehouse at Tejgaon I/A, Dhaka, no later than 30 June 2025. Late delivery shall attract a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 5%.
- Payment shall be made within thirty (30) calendar days from the date of successful delivery and written acceptance by the buyer's quality assurance team. Payment will be processed via bank transfer to the account specified in this Purchase Order.
- The Tailor warrants that all workmanship shall be free from defects in stitching, alignment, and finishing for a period of ninety (90) days from the date of delivery. Any defective items identified within this warranty period shall be re-worked or replaced at the Tailor's own cost.
- This Purchase Order is governed by the laws of the People's Republic of Bangladesh. Any disputes arising from this Purchase Order shall be resolved through the courts of competent jurisdiction in Dhaka, Bangladesh.
- The Tailor shall maintain adequate insurance coverage for all buyer-supplied materials in their possession and shall indemnify the buyer against any loss, damage, or theft occurring at the Tailor's premises in Dhaka.
- Neither party may assign or transfer this Purchase Order without the prior written consent of the other party. This Purchase Order may be amended only by a written addendum signed by both parties.
- All communications regarding this Purchase Order shall be directed to the authorized officers listed above. Verbal instructions shall not constitute a valid modification of this Purchase Order.
