4. Delivery & LogisticsAll completed garments and finished tailoring work shall be delivered to the buyer's premises at Rue de la Loi 42, 1000 Brussels, Belgium. The Tailor is responsible for secure, climate-controlled transport within the Brussels-Capital Region. Delivery shall be made in individual garment bags with the Tailor's branded tissue paper and a care instruction card printed in both Dutch and French, in accordance with the bilingual requirements of the Brussels-Capital Region. A signed delivery note shall be required upon receipt.
5. Terms and Conditions- This Purchase Order is governed by the laws of the Kingdom of Belgium, specifically the Belgian Code of Economic Law (Book VI — Commercial Contracts) and the regulations of the Brussels-Capital Region. Any disputes shall be submitted to the competent commercial court of Brussels.
- The Tailor warrants that all fabrics, threads, buttons, and auxiliary materials used in the construction of garments shall comply with EU Regulation (EU) No 1007/2011 on textile fibre labelling and with Belgian consumer protection standards.
- The Tailor shall maintain full professional liability insurance (assurance responsabilité civile professionnelle) with a minimum coverage of €1,000,000, valid throughout the duration of this Purchase Order and for twelve (12) months thereafter.
- Payment shall be made via bank transfer to the Tailor's Belgian bank account within thirty (30) calendar days of receipt of a valid invoice bearing the correct Belgian VAT number. Late payments shall accrue interest at the rate prescribed by the Belgian Law of 2 August 2002 on late payment in commercial transactions.
- The Tailor shall not subcontract any portion of the bespoke tailoring work without prior written consent from the buyer. All hand-stitching, canvas work, and final finishing must be performed by the Tailor's own master craftsmen at the Brussels atelier.
- Confidentiality: The Tailor acknowledges that client measurements, design specifications, and corporate branding details are confidential. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to strikes in the Belgian textile sector, supply chain disruptions within the EU, or government-mandated closures in Belgium Brussels.
- All intellectual property rights in custom designs, embroidered crests, and bespoke patterns created under this Purchase Order shall vest exclusively in the buyer. The Tailor retains the right to use general construction techniques but may not reproduce the buyer's specific designs for third parties.
- This Purchase Order constitutes the entire agreement between the parties regarding the tailoring services described herein and supersedes all prior negotiations, quotations, and correspondence. Amendments must be made in writing and signed by both parties.
