The scope of this Purchase Order encompasses the full measurement, cutting, stitching, pressing, and finishing of custom-made garments for a corporate client group. All work referenced in this Purchase Order shall be executed at the Tailor's workshop located in the Centro district of Rio de Janeiro, Brazil, unless otherwise agreed in writing by both parties.

All completed garments and finished tailoring work shall be delivered to the Buyer's premises at Av. Atlântica, 2500, Copacabana, Rio de Janeiro, Brazil, no later than 05 August 2025. The Tailor is responsible for proper packaging, labeling, and secure transport of all items from the workshop in Centro, Rio de Janeiro, Brazil, to the Buyer's location. Partial deliveries are not permitted under this Purchase Order unless expressly authorized in writing by the Buyer's procurement manager. The Tailor shall provide a delivery manifest listing each garment, its corresponding client reference number, and the final fitting status.

Upon receipt, the Buyer shall have a period of five (5) business days to inspect all garments produced by the Tailor. Any defects in stitching, alignment, fabric integrity, or finishing that deviate from the specifications agreed upon in this Purchase Order must be reported in writing. The Tailor shall rectify any non-conforming items at no additional cost within ten (10) business days of the defect notification. • This Purchase Order is governed by the Civil Code of the Federative Republic of Brazil and applicable commercial regulations of the state of Rio de Janeiro, Brazil.
• The Tailor shall maintain full confidentiality regarding client measurements, design specifications, and any proprietary patterns shared under this Purchase Order.
• Any modification to the scope, quantity, or design parameters of this Purchase Order must be documented in a written amendment signed by both parties.
• Payment shall be made via bank transfer to the account designated by the Tailor. Late payments shall accrue interest at the rate of 1% per month, in accordance with Brazilian commercial law.
• The Tailor warrants that all fabrics and materials used in the execution of this Purchase Order are new, of the grade specified, and free from defects.
• In the event of dispute, both parties agree to seek mediation through the Câmara de Comércio de Rio de Janeiro before pursuing judicial remedies in the courts of Rio de Janeiro, Brazil.
• This Purchase Order becomes effective upon signature by both parties and remains valid until full performance and payment are completed.
