This Purchase Order is issued by Empresa de Vestuário Corporativo Paulista Ltda. to Ateliê do Alfaiate – Casa de Costura Premium, a licensed and registered Tailor operating in the city of São Paulo, State of São Paulo, Brazil. - Scope of Work: The Tailor, Ateliê do Alfaiate – Casa de Costura Premium, shall execute all tailoring, garment construction, alteration, and embroidery services described in this Purchase Order at its registered workshop in São Paulo, Brazil. The Tailor shall use only the materials specified herein or materials of equivalent or superior quality, subject to prior written approval by the Buyer.
- Delivery: All finished garments and materials shall be delivered to the Buyer's premises at Av. Paulista, 1578, São Paulo – SP, Brazil. Delivery shall be made via the Tailor's contracted logistics provider or by the Buyer's designated courier. Risk of loss transfers to the Buyer upon signed receipt at the São Paulo delivery address.
- Payment: Payment shall be made via bank transfer (TED/PIX) to the account designated by the Tailor, within thirty (30) calendar days from the date of invoice issuance. Late payments shall accrue interest at the rate of 1% per month plus a 2% penalty, in accordance with Brazilian commercial law (Código Civil, Art. 412).
- Quality and Rejection: The Buyer reserves the right to inspect and reject any garment or service that does not conform to the specifications in Annex A. Rejected items must be corrected or replaced by the Tailor within ten (10) business days at no additional cost to the Buyer.
- Confidentiality: The Tailor agrees to maintain strict confidentiality regarding the Buyer's corporate branding, employee measurements, and design specifications. All data collected during the fitting process in São Paulo shall be stored securely and destroyed upon completion of the contract.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or supply chain disruptions affecting the textile industry in Brazil.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Federative Republic of Brazil. Any disputes shall be resolved by the competent courts of the city of São Paulo, State of São Paulo, Brazil.
- Validity: This Purchase Order is valid for thirty (30) days from the date of issue. The Tailor must confirm acceptance in writing within five (5) business days of receipt.
