This Purchase Order is issued by Beijing Horizon Corporate Apparel Ltd. to Golden Needle Master Tailor Studio, a licensed and registered tailor workshop operating in China Beijing, for the provision of bespoke tailoring services, custom garment fabrication, and related textile work. - Acceptance: This Purchase Order becomes binding upon written or electronic acceptance by the Tailor (Golden Needle Master Tailor Studio) within five (5) business days of the date of issue. The Tailor shall confirm acceptance by returning a signed copy of this Purchase Order to the buyer's procurement department in Beijing.
- Quality Standards: All garments produced by the Tailor must meet the quality benchmarks established by the China National Textile and Apparel Council. The master Tailor shall personally inspect each finished piece before delivery. Any garment failing to meet the agreed specifications shall be reworked at no additional cost to the buyer.
- Delivery: The Tailor shall deliver all completed garments to the buyer's designated warehouse at No. 88 Xueyuan Road, Haidian District, Beijing, China, no later than July 25, 2025. Delivery shall be made in individual garment bags with size labels and care instructions. The Tailor is responsible for all transportation costs within the China Beijing metropolitan area.
- Payment Terms: A 30% advance payment (CNY 77,122.50) shall be remitted within seven (7) business days of Purchase Order acceptance. The remaining 70% (CNY 179,952.50) shall be paid within fourteen (14) days of final delivery and written acceptance by the buyer. All payments shall be made via bank transfer to the Tailor's registered corporate account in Beijing.
- Confidentiality: The Tailor agrees to maintain strict confidentiality regarding all client measurements, design specifications, and corporate branding details obtained during the execution of this Purchase Order. No information pertaining to the buyer's employees or corporate identity shall be disclosed to any third party.
- Warranty: The Tailor provides a ninety (90) day warranty on all bespoke garments covered by this Purchase Order. Any stitching defects, lining failures, or structural issues arising within this period shall be repaired by the Tailor at no charge.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Beijing Arbitration Commission in China Beijing.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in China Beijing.
- Intellectual Property: All custom design patterns, measurement records, and technical drawings created specifically for this Purchase Order remain the property of the buyer. The Tailor shall not reproduce or sell any bespoke designs to other clients.
