This Purchase Order is issued by Meridian Apparel Group Ltd. to Guangzhou Precision Tailor Co., Ltd., a licensed and registered Tailor and custom garment manufacturing facility located in China Guangzhou, for the production, finishing, and delivery of a full collection of bespoke and semi-bespoke garments. The Tailor in China Guangzhou shall source all primary fabrics, interlinings, threads, buttons, zippers, and trims from the approved vendor list provided by the buyer. The worsted wool for Line 01 shall be 120s Supergrade from a mill in Biella, Italy, with a weight of 260 gsm. The linen for Line 03 shall be 100% European flax, 180 gsm, pre-washed. The Tailor is required to submit fabric swatches and a full material breakdown sheet to the buyer for written approval no later than 10 July 2025. Any substitution of materials without prior written consent from the buyer will constitute a breach of this Purchase Order.

All garments produced by the Tailor must meet the buyer's in-house quality standard QMS-2025-Rev3. The Tailor in China Guangzhou shall conduct 100% inline inspection at the end of each production stage. A final random inspection shall be performed to AQL 2.5 (Major) / 4.0 (Minor) levels. Defective units exceeding the AQL threshold will be rejected at the buyer's sole discretion, and the Tailor shall rework or replace rejected units at no additional cost within five (5) business days. The buyer reserves the right to dispatch a quality control representative to the Tailor's facility in China Guangzhou at any point during production with 48 hours' prior notice.
Payment shall be made via irrevocable Letter of Credit (LC) at sight, issued by a bank acceptable to the seller, or by Telegraphic Transfer (T/T) to the seller's designated account in China Guangzhou. The 30% deposit (USD 19,484.70) is due within five (5) business days of the buyer's written confirmation of this Purchase Order. The remaining 70% balance (USD 45,464.30) shall be released within ten (10) business days following successful final inspection and receipt of all shipping documents. Late payments shall incur interest at a rate of 1.5% per month. The Tailor shall provide a valid commercial invoice, packing list, certificate of origin (stamped by the China Council for the Promotion of International Trade, CCPIT), and any other documents required for customs clearance in the buyer's destination country.
- This Purchase Order is governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes shall be resolved by arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou, China.
- The Tailor warrants that all goods are free from defects in material and workmanship for a period of twelve (12) months from the date of delivery.
- The Tailor shall maintain adequate insurance coverage for all in-progress goods and finished inventory at its facility in China Guangzhou.
- Intellectual property: All patterns, designs, technical packs, and artwork provided by the buyer remain the exclusive property of the buyer. The Tailor shall not reproduce, sell, or disclose any buyer-specific designs to third parties. Breach of this clause shall entitle the buyer to claim damages and immediate termination of this Purchase Order.
- The Tailor shall comply with all applicable labour laws, environmental regulations, and export control laws of the People's Republic of China. The buyer reserves the right to audit the Tailor's facility in China Guangzhou for social compliance and environmental standards.
- Force majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or port closures in China Guangzhou. The affected party must notify the other within 72 hours of the event.
- This Purchase Order, together with the attached technical pack, approved samples, and any subsequent written amendments, constitutes the entire agreement between the parties. No oral modifications shall be binding.
