- Scope of Work: This Purchase Order authorizes the named Tailor workshop in China Shanghai to manufacture, assemble, and deliver all garments and materials as specified above. The Tailor shall adhere to all quality standards set forth in the attached technical specifications document (Ref: TS-2025-114).
- Delivery Location: All completed garments and materials shall be delivered to the Buyer's warehouse located at 888 Nanjing East Road, Huangpu District, China Shanghai. The Tailor is responsible for all transportation and insurance costs within the Shanghai metropolitan area.
- Delivery Schedule: The Tailor shall complete and deliver all items no later than August 15, 2025. Partial deliveries are permitted in weekly batches, provided that each batch is accompanied by a packing list and quality certification signed by the Master Tailor.
- Payment Terms: Payment shall be made in three installments: 40% (CNY 425,637.10) upon confirmation of this Purchase Order; 40% (CNY 425,637.10) upon completion of 70% of the garment production; and 20% (CNY 212,818.55) upon final delivery and acceptance. All payments shall be made via bank transfer to the Tailor's designated account in China Shanghai.
- Quality Assurance: The Tailor guarantees that all garments shall be free from defects in workmanship and materials. Any garment found to be non-conforming upon inspection shall be reworked or replaced at the Tailor's sole expense within five (5) business days.
- Intellectual Property: All design patterns, measurements, and specifications provided by the Buyer remain the exclusive property of Shanghai Prestige Apparel Group. The Tailor shall not reproduce, sell, or distribute any designs or patterns derived from this Purchase Order to any third party.
- Compliance: The Tailor warrants that all operations conducted in China Shanghai shall comply with the Labor Law of the People's Republic of China, local environmental regulations, and all applicable textile industry standards (GB/T 2660-2017 for shirts, GB/T 2664-2017 for suits).
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in China Shanghai, or supply chain disruptions. Affected parties must notify the other within 48 hours of the event.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through negotiation. If unresolved within thirty (30) days, the matter shall be submitted to arbitration under the Shanghai International Arbitration Center (SHIAC) in China Shanghai.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China.
