- Scope of Tailoring Work: The Tailor, Taller de Sastre El Tejano Ltda., shall perform all cutting, sewing, pressing, and finishing work in its workshop located in Medellín, Colombia. All garments must be constructed using traditional bespoke tailoring techniques, including hand-stitching on lapels, buttonholes, and canvas interlining. Machine-only construction is not acceptable for items 1, 2, and 4.
- Measurement and Fitting: The Tailor shall schedule and conduct all body measurements at the buyer's premises in El Poblado, Medellín, between June 16 and June 20, 2025. A minimum of three fitting sessions per client is required before final delivery. The Tailor's master fitter, Don Alejandro Martínez, shall personally oversee all fitting appointments.
- Delivery: All completed garments and accessories must be delivered to the buyer's office at Calle 43 # 47-25, El Poblado, Medellín, Colombia, no later than July 15, 2025. Delivery shall be made in individual garment bags with tissue paper wrapping, branded with the buyer's company name. The Tailor is responsible for all transportation costs within the city of Medellín.
- Payment: Payment shall be made in Colombian Pesos (COP) via bank transfer to the account specified by the Tailor. A 40% advance payment (COP 63,910,000) is due upon acceptance of this Purchase Order. The remaining 60% (COP 95,865,000) is due within 30 calendar days of final delivery and written acceptance by the buyer. Late payments shall incur interest at the rate established by the Superintendencia Financiera de Colombia.
- Quality Assurance: The Tailor guarantees that all garments shall be free from defects in materials and workmanship for a period of 12 months from the date of delivery. Any stitching failure, button detachment, or structural defect discovered within this warranty period shall be repaired by the Tailor at no additional cost. The buyer must notify the Tailor in writing within 7 business days of discovering any defect.
- Confidentiality: The Tailor acknowledges that client measurements, corporate branding, and design specifications are confidential information belonging to Andina Corporate Attire S.A.S. The Tailor shall not disclose, reproduce, or use any such information for any purpose other than the fulfillment of this Purchase Order. This obligation survives the termination of this agreement for a period of five (5) years.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or supply chain disruptions affecting textile availability in Colombia. The affected party must notify the other in writing within 48 hours of the occurrence.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Republic of Colombia. Any disputes arising from this agreement shall be resolved through the commercial courts of Medellín, Antioquia, Colombia. Both parties agree to attempt mediation before initiating any legal proceedings.
- Modifications: Any changes to the specifications, quantities, or delivery schedule outlined in this Purchase Order must be agreed upon in writing by both parties. The Tailor shall provide a revised quotation for any modifications exceeding 10% of the original scope.
- Tax and Regulatory Compliance: All applicable taxes, including IVA (Impuesto al Valor Agregado) at the current rate of 19% as established by the Colombian tax authority (DIAN), are included in the unit prices stated above.
