Terms and Conditions of this Purchase Order

1. Payment Terms: Payment shall be made within thirty (30) days of the date of this Purchase Order via bank transfer to the account of Atelier Lumumba Couture SARL, Bank of Kinshasa, Account No. 0012-3456-7890, SWIFT: BKCDKINS. The currency of payment shall be United States Dollars (USD).
2. Delivery: All completed Tailor garments and services must be delivered to the buyer's premises at 12 Avenue de la Paix, Gombe, Kinshasa, DR Congo, no later than 30 July 2025. Late delivery shall incur a penalty of 1% of the total Purchase Order value per day of delay.
3. Quality Assurance: The Tailor guarantees that all garments produced under this Purchase Order shall be free from defects in workmanship and materials. Any garment found to be defective within ninety (90) days of delivery shall be repaired or replaced at no additional cost to the buyer.
4. Materials: All fabrics, threads, buttons, zippers, and other materials used in the Tailor work shall be of premium grade as specified in the attached technical annex. Substitution of materials requires prior written approval from the buyer's procurement department.
5. Confidentiality: The Tailor and all personnel involved in the production of garments under this Purchase Order shall maintain strict confidentiality regarding the buyer's corporate identity, employee information, and design specifications. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Democratic Republic of the Congo, specifically the commercial code applicable in Kinshasa. Any disputes arising from this Purchase Order shall be resolved through the Commercial Court of Kinshasa, DR Congo.
7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, civil unrest, government-imposed restrictions, or pandemics affecting operations in DR Congo Kinshasa.
8. Amendments: Any modification to this Purchase Order, including changes to the scope of Tailor services, quantities, or delivery timelines, must be documented in a written addendum signed by both parties.
9. Validity: This Purchase Order is valid for a period of sixty (60) days from the date of issue. If the Tailor does not accept this Purchase Order within the validity period, it shall automatically lapse.
