- Payment Terms: Payment shall be made in two (2) installments: 40% upon signing of this Purchase Order and 60% upon final delivery and acceptance of all Tailor-crafted garments. Payment shall be transferred via bank wire to the Tailor's registered account at National Bank of Egypt, Alexandria Branch. All amounts are denominated in Egyptian Pounds (EGP) and are subject to the prevailing 14% Value Added Tax as mandated by the Egyptian Tax Authority.
- Delivery and Location: All completed garments and Tailor services shall be delivered to the Alexandria Coastal Hospitality Group main facility at 42 Corniche El-Nil Street, Smouha, Egypt Alexandria. The Tailor is responsible for all transportation costs within the Egypt Alexandria metropolitan area. Delivery outside of Egypt Alexandria shall incur an additional surcharge of 8% on the delivery fee.
- Quality Assurance: The Tailor warrants that all garments shall be free from defects in workmanship and materials for a period of twelve (12) months from the date of delivery. Any stitching failure, lining detachment, or structural defect discovered within this warranty period shall be repaired at no additional cost by the Tailor's workshop in Egypt Alexandria.
- Confidentiality: The Tailor and all workshop personnel shall treat all employee measurements, body specifications, and corporate design elements as strictly confidential information. No photographs of staff during fitting sessions shall be taken without written consent. This clause is binding under Egyptian Law No. 175 of 2018 on Personal Data Protection.
- Force Majeure: Neither party shall be held liable for delays caused by events beyond reasonable control, including but not limited to government-mandated closures in Egypt Alexandria, supply chain disruptions affecting fabric imports, or public health emergencies. The Tailor shall notify the Purchasing Party within forty-eight (48) hours of any such event.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days, the matter shall be referred to the Alexandria Commercial Arbitration Centre in Egypt Alexandria, and its decision shall be final and binding.
- Amendments: This Purchase Order may only be amended in writing, signed by both the Purchasing Party and the Tailor. Verbal modifications or changes to garment specifications after the initial measurement session shall require a written addendum and may affect the delivery timeline.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, including the Egyptian Civil Code and all applicable commercial regulations in force in Egypt Alexandria at the time of execution.
