This document formally authorizes the tailor to procure, prepare, and deliver the custom-tailored garments and associated materials specified herein. All work shall be executed in accordance with the quality standards, measurements, and design specifications agreed upon between the two parties. The tailor is expected to utilize traditional Egyptian tailoring craftsmanship combined with modern fitting techniques to ensure the highest quality of finished products. All deliveries shall be made to the issuing company's warehouse located in Downtown Cairo, Egypt, and all applicable Egyptian customs, tax, and commercial regulations shall be observed throughout the fulfillment of this Purchase Order.

4.1 Quality and Craftsmanship: The tailor shall ensure that all garments are constructed to the highest standard of Egyptian tailoring. All stitching shall be even, all seams reinforced, and all finishes neat. Any garment that does not meet the agreed-upon quality specifications shall be reworked at the tailor's own expense within five (5) business days of notification.

4.2 Measurements and Fittings: The tailor shall conduct at least two (2) fitting sessions per individual garment (basted fitting and final fitting) at the tailor's workshop in Zamalek, Cairo, or at the issuing company's premises in Downtown Cairo, at the client's discretion. All measurements shall be recorded and retained for future reference.

4.3 Delivery: All completed garments and materials shall be delivered to the issuing company's warehouse at 142 El Tahrir Street, Downtown Cairo, Egypt, no later than 28 July 2025. Delivery shall be made in clearly labeled, individually wrapped packages. The tailor is responsible for all transportation costs within Cairo and for any damage incurred during transit.

4.4 Payment: A 50% advance payment of EGP 225,577.50 shall be transferred via bank wire to the tailor's designated account within five (5) business days of acceptance of this Purchase Order. The remaining 50% balance of EGP 225,577.50 shall be due within ten (10) business days of successful inspection and acceptance of all delivered items.

4.5 Compliance with Egyptian Law: This Purchase Order and all associated transactions shall be governed by the laws of the Arab Republic of Egypt. The tailor confirms that all materials sourced are compliant with Egyptian textile regulations and that the workshop holds a valid commercial license issued by the Cairo Governorate's Department of Commerce.

4.6 Confidentiality: The tailor agrees to maintain strict confidentiality regarding all client measurements, design specifications, and business information shared in connection with this Purchase Order. No information shall be disclosed to third parties without written consent from Nile Heritage Apparel Co.

4.7 Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation between the parties in Cairo, Egypt. Should negotiation fail, the matter shall be submitted to the competent commercial court in Cairo, Egypt, for final and binding resolution.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the custom tailoring services and materials to be provided in Cairo, Egypt.

This Purchase Order (PO-EG-CAIRO-2025-00472) is valid for a period of sixteen (16) days from the date of issue. Any modifications to this document must be made in writing and signed by both parties.
