4. DELIVERY AND TIMELINE

The Tailor shall complete all measurements, fittings, and final garment production within forty-five (45) calendar days from the date of this Purchase Order. Final delivery of all completed garments shall be made to the Buyer's warehouse at Bole Road, Woreda 03, Addis Ababa, Ethiopia. The Tailor is responsible for all transportation and insurance of the goods during transit within Ethiopia Addis Ababa. Partial deliveries are not permitted unless expressly approved in writing by the Buyer's procurement officer.

5. PAYMENT TERMS AND CONDITIONS

A 30% advance payment (ETB 471,960.00) shall be remitted to the Tailor's bank account within five (5) business days of signing this Purchase Order to secure raw materials and initiate production.
A 50% progress payment (ETB 786,600.00) shall be due upon successful completion of all fitting sessions and approval of toiles (sample garments) by the Buyer's quality assurance team.
The remaining 20% balance (ETB 314,640.00) shall be paid within thirty (30) days of final delivery and written acceptance of all garments by the Buyer.
All payments shall be made via bank transfer to: Commercial Bank of Ethiopia, Account Name: Selam Custom Tailoring House, Account No: 1001-2345-6789-01, Branch: Bole, Addis Ababa, Ethiopia.
Late payments shall attract a penalty of 1.5% per month, calculated from the due date, in accordance with the Ethiopian Commercial Code.

6. QUALITY ASSURANCE AND INSPECTION

The Tailor guarantees that all garments produced under this Purchase Order shall conform to the specifications, measurements, and fabric descriptions agreed upon during the initial consultation. The Buyer reserves the right to inspect garments at any stage of production at the Tailor's workshop in Ethiopia Addis Ababa. Any garment found to be defective, incorrectly sized, or not matching the approved sample shall be re-tailored or replaced at the Tailor's sole expense within seven (7) calendar days of notification.

7. CANCELLATION AND DISPUTE RESOLUTION

Either party may cancel this Purchase Order with a written notice of fourteen (14) days. In the event of cancellation by the Buyer after production has commenced, the Buyer shall compensate the Tailor for all materials purchased and labor already expended, up to a maximum of 50% of the total Purchase Order value. Any disputes arising from this Purchase Order shall be resolved through amicable negotiation first, and if unresolved, shall be submitted to the Commercial Court of Addis Ababa, Ethiopia, in accordance with the laws of the Federal Democratic Republic of Ethiopia.

8. GENERAL PROVISIONS

This Purchase Order constitutes a binding agreement between the Buyer and the Tailor upon signature by both authorized representatives.
The Tailor shall maintain full liability insurance covering all garments in production and in transit within Ethiopia Addis Ababa.
All intellectual property, including design patterns and measurement records, shall remain the property of the Buyer.
This Purchase Order is governed by the Ethiopian Commercial Code and applicable federal and regional regulations of Addis Ababa.
Any amendments to this Purchase Order must be made in writing and signed by both parties.
