1. Scope of Tailor Services: The tailor, Atelier Couture Méditerranée, located in Marseille, France, shall perform all bespoke tailoring, pattern-making, cutting, sewing, pressing, and finishing work as described in this Purchase Order. All garments must be constructed using traditional French tailoring methods. The tailor shall provide a minimum of two in-person fitting sessions per garment at the atelier premises in Marseille, or at the buyer's facility in Marseille upon request.
2. Materials: All fabrics, linings, buttons, threads, and interfacings shall be sourced by the tailor from approved suppliers in the Marseille textile district or as specifically designated by the buyer in writing. The tailor shall provide material samples for buyer approval prior to cutting. Any substitution of materials requires prior written consent from the buyer.
3. Delivery: All completed garments shall be delivered to the buyer's premises at 142 Rue de la République, 13001 Marseille, France, no later than 22 August 2025. Delivery shall be arranged by the tailor at the tailor's own cost. Late delivery beyond the specified date shall incur a penalty of 1.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.

6. Intellectual Property: All bespoke patterns, measurements, and design specifications created under this Purchase Order remain the exclusive property of the buyer. The tailor shall not reproduce, sell, or disclose any patterns or designs to third parties without written authorisation.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Commercial Court of Marseille, France.
8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or supply chain disruptions affecting the Marseille region.
