1. Scope of Work: This Purchase Order covers the full range of bespoke tailoring services, garment production, fabric sourcing, and alteration work as detailed in the line items above. The Tailor shall adhere to all specifications, measurements, and quality standards agreed upon during the initial consultation in Frankfurt am Main.
2. Quality Assurance: Every garment produced under this Purchase Order must pass a final quality inspection conducted by the Master Tailor before delivery. Any item failing to meet the agreed bespoke standard shall be reworked at no additional cost to the buyer.
3. Delivery: All items shall be delivered to the buyer's address in Frankfurt, Germany, no later than 01 August 2025. Delivery shall be made in accordance with DAP (Delivered at Place) terms under Incoterms 2020. The Tailor is responsible for all packaging, labelling, and transport costs within Germany.
4. Payment: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Tailor. Payment shall be processed via SEPA bank transfer to the account specified on the invoice. Late payments shall incur interest at the statutory rate under German commercial law (HGB § 288).
5. Cancellation and Changes: The buyer reserves the right to modify quantities or specifications up to fourteen (14) days prior to the requested delivery date. Any changes after this period are subject to the Tailor's written approval and may incur additional charges.
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
7. Confidentiality: All client measurements, design preferences, and corporate branding details shared with the Tailor in connection with this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party.
8. Compliance: The Tailor confirms that all work performed under this Purchase Order complies with applicable German labour regulations, textile labelling requirements (Textilkennzeichnungsgesetz), and consumer protection laws in force in Germany Frankfurt and the broader German jurisdiction.
