The Tailor shall complete all production and deliver the finished garments to the Buyer’s premises at Maximilianstraße 42, 80539 Munich, Germany, no later than 15 August 2025. The initial fitting session at the Tailor’s atelier in Germany Munich shall be scheduled within fourteen (14) calendar days of the acceptance of this Purchase Order. All intermediate fittings shall be conducted at the Tailor’s workshop in Munich. The Buyer’s representatives shall be present for all fitting appointments. Delivery of the final collection shall be made by the Tailor’s own courier service within the city of Munich, Germany, at no additional cost to the Buyer.
6. Terms and Conditions- Acceptance: This Purchase Order becomes binding upon written or electronic acceptance by the Master Tailor of Haus Schneider & Söhne. The Tailor shall confirm acceptance within five (5) business days of receipt.
- Quality Standard: All garments produced under this Purchase Order shall meet the quality standards of a German Master Tailor (Meisterbetrieb) as certified by the Innung für Bekleidung in Munich. Any garment failing to meet the agreed specifications shall be reworked at the Tailor’s sole expense.
- Payment: A deposit of 30% (€22,080.45) shall be due upon acceptance of this Purchase Order. The remaining 70% (€51,521.05) shall be due within thirty (30) days of final delivery and acceptance of all garments in Germany Munich.
- Intellectual Property: All patterns, measurements, and design specifications created by the Tailor for this Purchase Order remain the exclusive property of the Buyer. The Tailor shall not reproduce or share these specifications with any third party.
- Confidentiality: The Tailor agrees to maintain strict confidentiality regarding the Buyer’s corporate identity, employee measurements, and any proprietary design elements specified in this Purchase Order.
- Warranty: The Tailor provides a twelve-month warranty on all stitching, construction, and finishing work. Any defects arising within this period shall be repaired free of charge at the Tailor’s atelier in Munich, Germany.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or supply chain disruptions affecting the Tailor’s ability to source materials in Germany Munich.
