Terms and Conditions of This Purchase Order
- Delivery Location: All completed garments and materials shall be delivered to the buyer's premises at 12 Independence Avenue, Osu District, Ghana Accra. The Tailor is responsible for safe transport within the Ghana Accra metropolitan area.
- Delivery Timeline: The Tailor shall complete and deliver all items no later than 30 July 2025. Partial deliveries are permitted in weekly batches, provided the final delivery date is met.
- Quality Standards: All Tailor workmanship must meet the specifications agreed upon during the initial fitting. Any garment showing stitching defects, misaligned patterns, or fabric damage shall be reworked at the Tailor's own cost within five (5) business days of notification.
- Payment Terms: A 40% advance payment (GHS 134,136.00) shall be remitted to the Tailor upon acceptance of this Purchase Order. The remaining 60% (GHS 201,204.00) shall be paid within seven (7) business days of final delivery and inspection in Ghana Accra.
- Payment Method: All payments shall be made via bank transfer to the Tailor's designated account at Ecobank Ghana, Accra Branch. No cash payments shall be accepted under this Purchase Order.
- Warranty: The Tailor provides a 90-day warranty on all custom-sewn garments against structural defects in stitching, lining, and button attachment. This warranty is valid from the date of delivery in Ghana Accra.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to national public holidays in Ghana, power outages affecting the Tailor's workshop in Ghana Accra, or government-mandated closures.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Republic of Ghana. Any disputes shall be resolved through the courts of competent jurisdiction in Ghana Accra.
- Amendments: Any modification to this Purchase Order must be made in writing and signed by both the buyer's Procurement Manager and the Tailor's owner. Verbal agreements are not binding.
- Confidentiality: The Tailor agrees to maintain strict confidentiality regarding client measurements, design specifications, and business information shared during the course of this Purchase Order.
Note: This Purchase Order is valid only when signed and stamped by both parties. The Tailor's workshop in Ghana Accra must retain a copy of this document for their business records in compliance with Ghana Revenue Authority regulations. All fabric samples and pattern drafts referenced in this order are attached as Appendix A (not included in this document).
