The Tailor shall execute all cutting, stitching, lining, embroidery, and finishing work in accordance with the detailed measurement charts, fabric specifications, and design mock-ups provided by the Buyer. Any deviation in thread count, lining material, or button specification must be reported to the Buyer's quality team within 24 hours of discovery.

All completed garments shall be delivered to the Buyer's warehouse located at Plot No. 42, Connaught Place, New Delhi – 110001, India. The Tailor is responsible for proper packaging (individual polythene wrapping, cardboard boxes, and outer carton) to prevent damage during transit within New Delhi. Delivery shall be made via the Tailor's own transport or a mutually agreed courier service. The Buyer shall bear the cost of inter-city or inter-state transportation if the final delivery destination is outside New Delhi, India. Partial deliveries are permitted only with prior written approval from the Buyer's Procurement Manager.

Payment shall be made via National Electronic Funds Transfer (NEFT) or Real-Time Gross Settlement (RTGS) to the bank account of the Tailor as specified in Section 2. The payment schedule is as follows: (a) 30% advance payment (₹ 3,93,750.00) within 5 working days of acceptance of this Purchase Order; (b) 50% progress payment (₹ 6,56,250.00) upon completion of 70% of the total garment quantity and successful mid-stage quality inspection; (c) 20% final balance (₹ 2,62,500.00) within 10 working days of final delivery and acceptance of all items. The Tailor shall issue a valid GST tax invoice in the name of the Buyer for each payment tranche. Late payment beyond the stipulated period shall attract interest at 12% per annum as per the applicable provisions of the Indian Contract Act, 1872.

(a) This Purchase Order is governed by the laws of India and shall be subject to the jurisdiction of the competent courts in New Delhi, India. (b) The Tailor warrants that all work shall be performed by skilled artisans under his direct supervision and that no sub-contracting shall occur without the Buyer's written consent. (c) In the event of defective workmanship, the Tailor shall rectify or replace the affected garments at no additional cost within 7 working days of the defect report. (d) The Tailor shall maintain adequate insurance coverage for the fabrics and garments in his possession during the tailoring process. (e) This Purchase Order is valid for a period of 90 days from the date of issue. (f) Any amendments to this Purchase Order must be made in writing and signed by both parties. (g) The Tailor shall comply with all applicable labour laws of India, including the Factories Act, 1948, and the Minimum Wages Act, 1948, for all workers at the New Delhi workshop. (h) Force majeure events, including but not limited to natural disasters, government-imposed lockdowns, or strikes affecting the New Delhi region, shall extend the delivery timeline proportionally.

By signing below, both the Buyer and the Tailor acknowledge and agree to all terms, conditions, specifications, and obligations outlined in this Purchase Order. This document constitutes a binding commercial agreement for the tailoring services described herein, executed in New Delhi, India.
